South Africa – Terms and Conditions of Use of the Marketplace
  1. General
    1. These Terms of Service (“Terms“) are a binding legal agreement between you and RedCloud (the “Contract”) that governs your use of the websites, applications for mobile devices, and other present of future offerings from RedCloud (collectively, the “Platform“). These Terms may be updated from time to time at the sole discretion of RedCloud. When used in these Terms, “RedCloud,” “we,” “us,” or “our” refers to the RedCloud entity with whom you are contracting and includes their successors and any person to whom rights have been assigned under this Contract.
    2. By accessing to the Platform, the User automatically adheres to the Terms which shall be strictly observed by the Users. These terms, including the subtitles below (which are deemed an integral part of this Terms), constitute a contract between any person (hereinafter, “User” or, in plural, “Users“) who wishes to access the Platform and/or use the Services described herein and enters into this Contract.
    3. Please read the Terms carefully before using the Marketplace. By creating an Account and accessing and using the Platform, the User accepts and acknowledges that the Terms are mandatory and binding. In case the User does not agree with the Terms, the User must refrain from using the Platform.
    4. The User agrees to use the Platform for lawful purposes, respecting the applicable laws and regulations and in no way shall use the Platform or its content for purposes contrary to the applicable law and regulations or morality or the policies of the Platform which may be issued or amended by RedCloud from time to time at its sole discretion, or in any other way that may affect its operation, security and/or information contained therein.
    5. Please print and keep a copy of this Contract for your records. RedCloud reserves the right to accept your adherence to these Terms and reserves the right to use its discretion in the exercise of its prerogatives in accordance with the law.
  2. About us
    1. RedCloud Technologies Ltd, trading as RedCloud, operates the Platform and provides the Services. RedCloud is registered in the UK under the number 08872820 and its registered office is located at the following address: 50 Liverpool Street, London, EC2M 7PY.
    2. All notices relating to the Services herein provided, should be sent to the following address: customercare.za@redcloudtechnology.com.
  3. Legal Capacity
    1. The Services offered by the Platform are available to those Users, whether human persons or representatives of legal entities, who have legal capacity to contract, that is, to acquire rights and incur in obligations. Services of the Platform may not be used by persons who do not have that capacity, minors or Users who have been suspended and / or disqualified by the Platform. By registering as a User, you declare under oath that you are a human person of legal age, with legal capacity to contract.
  4. Territory
    1. This Platform is available in the territory of South Africa (when referring to Sellers) and/or where the store is located (when referring to Buyers) and is not intended to be accessed from any jurisdiction of any state, country, or territory other than the aforementioned. Neither us nor the Sellers make any representation or warranty that the Platform or any of the products are suitable or available for use, purchase, delivery, or sale in other locations.
  5. The Marketplace
    1. RedCloud provides a marketplace on its Platform (“the Marketplace”). The Marketplace is a B2B online intermediary services shopping platform that allows for: (i) purchase transactions between Users for ordering and paying for products online (“Marketplace Services”), (ii) payment transactions between the Users, including the ability to send credits backed by funds held by Users on their Account as means of payment (“Payment Services”), (iii) accessibility and digitalisation of data of Users and their transactions using the Marketplace (“Data Services”), (iv) strategic marketing campaigns (“Marketing Services” and altogether, the “Services”). Transactions to be performed within the Marketplace are B2B and therefore are not aimed to connect Sellers with final consumers.
    2. RedCloud acts as a data controller regarding the processing of data of Users. RedCloud processes personal data in connection with sales and purchases made by Users (“Collected Data”) to provide Data Services and collect other data, figures and relevant information for the provision of Marketing Services (and other relevant Services). Users hereby consent to such collection and usage of data in accordance with these Terms and the Privacy Policy of the Platform. Please also refer to the Privacy Policy.
    3. Collected data may include, but is not limited to transactional data, behavioural data and payment data of Users.
    4. Collected Data may be used and enhanced for the purposes of internal reporting within RedCloud. Users hereby consent to such collection and usage of data in accordance with these Terms and the Privacy Policy of the Platform.
  6. Registration
    1. To use the Services of the Platform, Users must register by creating an access account and providing login name and password details, and by providing necessary information which may include name, email address, postal address, information related to the payment of the Services and any other information that may be reasonably required by us (“the Account“) and agreeing to these Terms. As part of the registration process, you will receive a PIN code that will allow you to access the Services.  All information provided by the Users shall be accurate and valid at all times and any change shall be immediately notified to us. The Account will allow the User to use the Platform and access the Services. Users will access their Account through a username, phone number or email address and a personal password to be chosen by the User. The Account is unique non-transferable. In the event that we detect different Accounts containing the same or related data, we may cancel, suspend or disable them. Additionally, any User who is verified to operate with more than one Account will be blocked and will no longer be able to use the Platform.
    2. In order to make transactions on the Platform, Users must charge credit to their Account (as detailed below).
    3. The Account will allow the User to use the Services in conjunction with any other functionality that may be offered to the User in the future, subject to the terms and conditions set forth for each functionality.
    4. RedCloud may use reasonable efforts to verify the identity of the User and the data entered at the time of the registration. This may include the use of a one-time passcode (“OTP”) provided through the use of a mobile number (where the use of OTP is in place, the provision of a mobile number is mandatory). The mobile number is treated as personal data in line with these full terms and conditions. RedCloud is not responsible for the veracity or accuracy of the data provided by the Users. RedCloud reserves the right to request additional proof and/or data for the purpose of corroborating the data reported by the User, as well as suspend and/or temporarily or permanently disable those Users whose data could not be verified. Additionally, RedCloud reserves the right to suspend Users temporarily or permanently in case of breach of the Terms, as well as to reject requests for Transactions placed.
    5. The Platform shall maintain the confidentiality of the data provided by Users for registration and Users agree to maintain the confidentiality of their name and password and any other Account’s settings. The User agrees to immediately notify us of any unauthorized use of their Account, and to hold the Platform harmless in the event that this causes any damage to us or to third parties.
  7. Marketplace Services
    1. The Seller must offer for sale products and promote the Services in the appropriate categories and subcategories and Buyers may purchase through the Marketplace products marketed directly by the Sellers (“the Products”). Descriptions of the Products may include descriptive texts, graphics, photographs and other contents and conditions relevant to the sale of the Products, provided that they do not violate any third-party rights, applicable law, provision of this Contract or RedCloud policies.
    2. The Seller must comply with all relevant regulatory obligations such as registrations, authorizations, permits and/or authorizations required by the applicable regulations for the Products and Services offered, as well as with any mandatory product information to be included in the relevant offers pursuant to applicable regulations. RedCloud shall be entitled to delete any offer that does not comply with legal requirements but has no obligation to check offers for admissibility.
    3. In addition to these Terms, the Buyers agree by purchasing a Product to be bound by the terms and conditions of sale included in the publication displayed in the Marketplace, to the extent that such terms and conditions do not violate the applicable laws or policies of RedCloud. The offer to purchase a Product is irrevocable. Purchase offers will only be considered valid once they have been processed by the Marketplace and received by the Seller.
    4. Once the Buyer has selected the Products for purchase, such Products will be included in the Buyer´s shopping cart. At the end of the selection process, the Buyer must confirm his purchase and enter the place and method of delivery or pick-up, as offered by the Seller, and method of payment (“the Order”). After the Order is confirmed, it will be forwarded to the Seller for approval (who may accept the Order or modify the terms of the Order or reject the Order, at its sole discretion). Upon acceptance of the Order, the Marketplace will automatically inform the Buyer. The Products purchased through the Marketplace shall be subject to the dispatch and delivery conditions offered by the Seller chosen by the Buyer and available on the Marketplace and RedCloud will have no liability whatsoever regarding such dispatch and delivery or pick up, as applicable. In case of receipt of damaged or defective Products, the Buyer may make the corresponding claim to the Seller if the seller’s terms and/or applicable law allow for this.
    5. Upon an Order being made, the personal details of the Buyer will be shared with the Seller in order to and to the extent necessary to enable fulfilment of the Order.
    6. The form of payment for Products purchased on the Site may be performed by: (i) credit or debit card, (ii) the payment platform “RedPay” or (iii) such other means of payment as may be enabled by the Marketplace and accepted by Sellers in the future.
    7. The Buyer shall pay the price approved by the Seller when accepting the Order and, if applicable, the shipping and delivery costs. The Seller shall issue the corresponding invoice to the Buyer, this being the only invoicing method available for purchases through the Marketplace.
    8. By accepting these Terms, the Buyer acknowledges and agrees that the purchase and sale transaction it enters into with the Seller may be governed by additional conditions that will be provided by the Seller from time to time. The Marketplace and RedCloud will not be liable for any aspect of the transaction between the Buyer and the Seller, including but not limited to the terms agreed between the Buyer and the Seller, the payment by the Buyer and/or any defect in the Products or Services provided by the Seller.
    9. Acceptance of orders on the Marketplace:
      1. All Orders are subject to the condition precedent that the Seller validates the transaction and accepts it. To validate the transaction, Seller shall verify: (a) that it has, at the time of receipt of the Order by the Buyer, the Products in stock; (b) that it validates and accepts the amount and means of payment offered by the Buyer; and (c) any other aspect relating to the Order (including but not limited to delivery method). If an Order includes Products from different Sellers, such Order will be divided in sub-orders and each of the sub-orders redirected to the relevant Seller, who will proceed with the abovementioned acceptance. Buyers acknowledge and agree that Orders might only be partially accepted or rejected in full from time to time.
      2. The Buyer acknowledges and agrees that Orders may be rejected and/or suspended in certain cases even after the Order had been accepted. In this regard, the Marketplace may not be able to proceed with certain processing, in the following cases, without limitation: (a) when the Product ordered is not available; (b) when the payment service provider does not authorize payment of the price or payment has not been made for any reason whatsoever (if such means of payment is available on the Marketplace); or (c) when Buyers do not meet the ordering criteria specified in these Terms. In addition, in the event of force majeure or logistical difficulties in shipping to certain areas, the Marketplace and the Seller reserve the right to cancel an Order and/or apply exceptional terms and conditions. The Marketplace will automatically give notice of cancellation and/or application of exceptional terms and conditions as soon as possible after an Order is placed. Seller shall be independently and entirely responsible for the refund, cancellation and post-sales support of any Products or Services sold within the Marketplace.
    10. Fees on the Marketplace:
      1. For each Order, RedCloud will charge a fee, calculated based on the gross cost of the order (“the Fee“). As per the separate Commercial Agreement certain Sellers may agree to sponsor the fees of some or all Buyers in certain territories subject to additional terms. The applicable Fee will be billed on a monthly basis to the corresponding Seller.
      2. In addition to the Fee, RedCloud will charge VAT and any other local taxes that may apply.
      3. The Price includes costs of implementation and professional technical and business support. The Price includes fees for the use of the payment services covering cash digitization. It does not include any third-party payment processing fees such as Visa/Amex, etc.
    11. Invoicing of Fees:
      1. RedCloud will invoice the Company on the last day of each month for Marketplace Services performed within the course of that month. RedCloud’s payment terms are that its invoices are payable when received by you. The Company agrees to pay RedCloud’s invoices when it receives them.
      2. If the invoice is not paid within 30 days of the date of the invoice, interest will accrue monthly on the amount due at a rate of 4% per annum.
  8. Data and Marketing Services
    1. Collected Data may be used and enhanced for commercial purposes, including the provision of Collected Data to other Users or third-parties, whether or not for consideration. Where such commercial purposes involve the Collected Data (whether enhanced or otherwise) being provided directly to the User whose personal information forms the underlying data, it may be non-anonymised. Where commercial purposes involve the Collected Data (whether enhanced or otherwise) being provided to a User or third-party other than the User whose personal data forms the, or part of the, underlying data, it shall be anonymised and/or aggregated. For the avoidance of doubt, where Collected Data is anonymised and/or aggregated, the data of a single, identifiable User cannot be discerned from such.
    2. Data in relation to a User that is non-confidential and available in line with open commerce, including, but not limited to, data that the User provides openly on the Marketplace, may be enhanced, summarised and/or shared with other Users.
    3. RedCloud may use the personal data to contact a User through mobile, Whatsapp, email or other form of social media, including to contact the User with marketing materials. This may include, but is not limited to, the provision of personalised offers, promotions, advertisements or survey requests. A User may opt-out of being contacted by RedCloud through any type of medium.
  9. Payment Services
    1. Users may deposit money into their Account (“the Credit“) as a result of (i) collection transactions made through the Platform and (ii) through enabled debit cards and extra-bank collection networks or using any other means that may be indicated by the Platform in due course . The Credit will be credited to the User’s Account in accordance with the rates, taxes and discounts applicable and the mechanisms and rules determined by the Platform accepted by the User through these Terms. The User may use the Credit to perform the Transactions described in accordance with the provisions of these Terms.
    2. RedCloud acts as a Service provider through the Platform installed on your mobile device or through our Website. By initiating and performing a Transaction, you appoint RedCloud as your agent granting us an irrevocable mandate to dispose on your behalf of the Credit in your Account and transfer it to the Account of the designated recipient in accordance with your instructions. A financial institution designated for such purposes will hold the funds on your behalf until they are transferred to the recipient’s bank account, in the meantime you may not withdraw such funds or send such funds to any other recipient unless the initial Transaction is concluded.
    3. Upon receipt of a Top-Up request, you will issue a Transaction execution order, whereby you consent to RedCloud executing this and any other Transaction as may be necessary on your behalf. For this purpose, you shall provide the recipient’s Account information and such additional data as may be requested by the Platform. You hereby agree that all Transactions are subject to the availability of funds, which will be verified and confirmed by us.
    4. RedCloud shall have no obligation to execute the Transaction requested if you do not have sufficient Credit in your Account. Once we process your request, you will receive a Transaction confirmation receipt. This receipt is not equivalent to the receipt of the Credit in the receiving Account, which may take up to 48 business hours.
    5. RedCloud will not allow you to transfer Credit from your account in an amount exceeding the amount of money deposited and reflected in such Account.
    6. No Transaction may be cancelled after having been ordered by you unless authorized by RedCloud in accordance with the provisions herein contained. In any case of reversal of the Transaction, the Fees paid for the Service will not be refunded.
    7. RedCloud will use its best efforts to ensure that the Transaction is executed on the next business day following the date of receipt of your Transaction order, provided that the recipient has an Account in the Platform. If the recipient does not have an Account, the Transaction will be executed as soon as an Account is opened or on the date RedCloud receives the recipient’s bank account details.
    8. For each Transaction, RedCloud will charge a fee at the rate set forth in the Platform (the “Fee“), as published from time to time. The applicable Fee will be deducted from your Account upon ordering each Transaction, and the new Account balance will appear on your Account screen and will be communicated to the User via a message automatically sent by the Platform.
    9. Upon closure of an Account for any reason, we are authorized to use the contact information you have provided to us to attempt to send you or the recipient indicated by you, the funds equivalent to the Credit remaining in your Account. In the event that such information is incorrect or out of date, and/or we are unable to locate you to provide us with the information of the recipient to whom you wish to send the Credit, you acknowledge that you may lose both the credits and the funds corresponding to the Credit that is in your Account.
  10. Means of Payment
    1. The Platform has different suppliers in charge of the payment service. They are responsible for carrying out the Transactions. If the User shared their credit or debit card information in the Platform and makes it available to our supplier or entity responsible for the collection, authorizes the latter to debit from your credit or debit card charges incurred in the Account that the User registered on the Platform.
    2. The Users expressly consent to the use of credit available in the RedPay wallet as one of the methods for the payment of the Products or Services offered.
    3. Users may deposit money into their Account (“Credit”) as a result of (i) transactions made through the Marketplace and (ii) through enabled debit cards and extra-bank collection networks or using any other means that may be indicated by the Marketplace in due course . The Credit will be credited to the User’s Account in accordance with the rates, taxes and discounts applicable and the mechanisms and rules determined by RedCloud and accepted by the User through these Terms. The User may use the Credit to perform the transactions described in accordance with the provisions of these Terms.
    4. The Marketplace may offer and implement additional payment services, for which separate terms and conditions apply.
    5. The User agrees to pay all bills and charges due by him/her. Payments that may eventually be made through the Platform to charge credit to the Account, may be made online using credit cards and debit cards enabled or using any other means of payment that may be indicated in due course.
  11. Applicable Taxes
    1. It shall be the User’s sole responsibility to determine which taxes, if any, apply to the sale of Products, and it is the User’s sole responsibility to remit the correct tax to the appropriate tax authority. The fees payable by you to RedCloud under this Contract do not include any value added tax, or any other indirect and direct taxes arising as a result of or in connection with the Transactions contemplated hereby. Users agree to pay all applicable taxes to the relevant authorities.  To the extent required by such tax authority, RedCloud may make withholding to cover such taxes and pay such taxes to the appropriate tax authority. The User shall indemnify and hold RedCloud harmless for any claims that may be made by the tax authorities with respect to applicable taxes, debts and/or interest related to sale and purchase of Products and Services carried out by the Users.
  12. Assignment of Rights
    1. The User may not assign, transfer, delegate or dispose of the rights or obligations under this Agreement, in whole or in part without RedCloud consent in writing. RedCloud may assign, transfer, delegate or dispose of the rights or obligations under this Agreement or its contractual position, in whole or in part, for which the User hereby gives his consent in advance to perform such actions.
  13. Trade marks
    1. RedCloud grants the corresponding license of its trade name and logo to the User, so that during the Term RedCloud may use them in the manner it deems convenient to advertise and communicate the Marketplace and the participation of users in the Marketplace.
  14. Compliance with Contractual Provisions
    1. The User shall comply with all the Terms set forth in this Contract and any other instructions set forth by RedCloud under the contractual relationship herein established, e.g. RedCloud’s policies. In addition, the User agrees: (i) not to violate any applicable law, statute, contract or regulation, (ii) not to infringe any third party rights or any of RedCloud’s rights, including copyright, patent, trademark, trade secret or other intellectual property and/or privacy rights, (iii) not to engage in verbal or other conduct that is characterized as obscene, defamatory, threatening or constitutes harassment, (iv) not to use the Services to receive funds as consideration for sexually oriented or obscene materials or services; (v) not to use the Services to receive funds for drug trafficking, controlled or illegal substances, steroids or prescription drugs, (vi) not to use the Services to launder money derived from illegal activities, (vii) not to provide false, inaccurate or misleading information, (viii) not to send or receive potentially fraudulent, illegitimate or illegal funds, (ix) not to refuse to cooperate in an investigation or provide confirmation of Users’ identity or any information the Users provided to us, (x) not to attempt to take any action that results in unlawful enrichment, (xi) not to access the Marketplace from a country in which the Services are not approved, (xii) not to disclose or distribute another User’s information to a third party, (xiii) not to use third party’s information for marketing purposes unless you receive such User’s explicit consent to do so.
    2. If we have reason to believe that you have engaged in forbidden activities, we may engage in actions necessary to protect RedCloud, another User, a third party or you from setbacks, claims, fees, fines, penalties and any other liability. The actions we may take include but are not limited to the following: block, limit, close or terminate your right to use or dispose of your Credit and/ or your Account in full or for any particular Transaction. We may also refuse to provide our Services in the future, withhold your Credit for as long as necessary to protect us and others against the risk of financial loss and take legal action against you. If we proceed with the closure of your Account, we will provide you with notice of the Account closure and, if possible, the reasons for the closure, along with the procedure for withdrawing the funds corresponding to any Credit your Account reflects.
  15. Intellectual Property
    1. The mere access to the Platform does not give the User any right of use over the content of the Platform (whether past, current, or future content). RedCloud is the owner, or the licensee of all intellectual property rights generated in the Platform and from the Services and any material published in connection with them except those which may be owned exclusively by Sellers and Buyers.
    2. The contents displayed on the Platform may not, in any way, be copied, distributed, reproduced or disclosed, by any means, under penalty of civil and/or criminal liability.
    3. The User may not rent, lease or transfer any rights to use the software or the Marketplace to any third party. If any Users fail to comply with RedCloud’s instructions, implementation and usage requirements, such Users will be liable for all resulting damages suffered by the User itself, RedCloud and any third parties. Users agree not to alter, reproduce, adapt, distribute, display, publish, translate, disassemble, decompile or otherwise attempt to create any source code derived from the software, the Services and/or the Platform. RedCloud does not own, control or have any responsibility or liability for any third-party software applications a User might choose to use on the Platform and/or in connection with the Services. The RedCloud name and logo, and all related logos of our products and services, are either the property of RedCloud or registered trademarks of RedCloud or its licensor. In addition, all graphics, button icons and scripts are protected by copyrights owned by RedCloud, trademarks and/or trade secrets of RedCloud. Users may not copy, imitate, modify, alter or use them without our prior written consent.
    4. The Users warrant that they have all relevant rights to publish the Products, its trademarks, logos and product claims in the Marketplace. By uploading the information, images, videos, documentation and any other materials to the Marketplace, the Users authorize RedCloud and its affiliated companies to use, publish, and/or reproduce the images and photographs included in its publications, its trade name, trademarks, advertising phrases, logos, designs, drawings, images and any other distinctive sign that identifies the Users and its products or services (“the Users’ Trademark“) and information regarding its products or services (“Product Information“) within the Marketplace and for communication and advertising purposes in any communications, announcements or campaign issued by RedCloud in any available media outlets. It shall be the User’s obligation to include on the Marketplace the Product Information, including those warnings required by the applicable legislation for the sale or advertising of the Products and Services. The Users grant RedCloud and its related companies a free, irrevocable, non-exclusive, international and time unlimited authorization to use, publish, reproduce and/or adapt the images, photographs, the Users’ Trademark, and the Product Information in order to be used in all RedCloud sites and applications, social networks and/or in any mass and non-mass communication media, including, without limitation, platforms and any other digital or physical media that RedCloud deems appropriate.
    5. The Users declare and guarantee that they are the owners or licensees of the necessary rights over the images, photographs contained in its publications, over the Users’ Trademarks, as well as over the Product Information, and that it has the necessary rights and powers to grant the authorization detailed in this clause, being exclusively liable for any infringement of third parties’ rights or for any inconsistencies or inaccuracies in the Product Information.
  16. Limitation of Liability
    1. Given that the Marketplace is a mere intermediary platform which connects Buyer and Seller, it does not participate in the transactions carried out between them. Consequently, the Seller will be responsible for all the obligations and tax charges applicable to the sale of its Products and/or Services, and the Marketplace and/or RedCloud cannot be held liable for any kind of non-compliance.
    2. It is the Seller who uses the Marketplace and publishes their Products and Services, and consequently defines the conditions of their offer (product or service offered, price, description, photos, quality, quantity, completeness, etc.). In all cases, Sellers will be responsible for the existence, quality, quantity, integrity and/or legitimacy of the Products and/or Services they offer and will hold the Marketplace and/or RedCloud harmless for any actions or claims that may arise because of an offer or transaction.
    3. The Platform is subject to possible interruption problems, technical failures, and temporary unavailability of the Services. We shall not be liable for damages of any nature whatsoever that may occur due to the unavailability or lack of continuity of operations of the Platform although RedCloud will make commercially reasonable efforts to ensure that Orders are processed in a timely manner, but in no way guarantees the amount of time necessary to complete their processing.
    4. We will use our commercially reasonable efforts to ensure the security and reliability of the Platform and the content available on the Platform by using various controls to detect, prevent and combat malicious activity. However, RedCloud shall not be liable for any damages arising from the actions of third parties, for the improper conduct of the User, or for any fact that is somehow outside our control.
    5. RedCloud shall not be liable for the User’s browsing on external websites, even if they were referenced on the Platform, so it is a duty of the User to read the terms and conditions, Privacy Policy and Cookies Policy (if applicable) of the website accessed, being the User responsible for any damage or injury suffered in relation to such third-party sites. RedCloud shall not be liable for orders, instructions, requests and/or wrong or incomplete Orders caused by erroneous data of the recipient’s Account, relevant information of the recipient or the payment transaction, provided by the User.
    6. RedCloud shall not be liable in any way for the fulfillment of the obligations assumed by Users with third parties in relation to the Services and/or Transactions to be made or received through the Platform. The User acknowledges and agrees that when making Transactions with other Users or third parties, the User is acting freely and at their own risk and responsibility. In any case, the Platform shall not be liable for direct damage, loss of profits, or any other damage and/or injury suffered by the User, due to Transactions made through the Platform. The Platform shall not be responsible for verifying the causes, amount or any other circumstance relating to Transactions or to the veracity of the personal data entered by the User. In the event that one or more User or any third party initiate any claim or legal action against other User based on Transactions performed between them, each and every one of the users involved in such claims or actions waive the Platform and its directors, managers, employees, agents, operators, representatives and attorneys from liability.
    7. The Platform shall not be liable for the User’s browsing on external websites, even if they were referenced in the Platform, so it is a duty of the User to read the Terms and Conditions and Privacy Policy of the website accessed, being the User responsible for any damage or injury suffered in relation to such third-party sites. The Platform shall not be liable for orders, instructions, requests and/or wrong or incomplete Transactions caused by erroneous data of the recipient’s Account, relevant information of the recipient or the payment transaction, provided by the User.
    8. In any case, RedCloud shall not be liable for direct or consequential damages, loss of profits, or any other damage and/or injury suffered by the User, due to the sale and purchase of Products made through the Marketplace. Neither the Platform nor RedCloud shall be responsible for verifying the causes, amount or any other circumstance relating to the Services or to the veracity of the personal data entered by the User. In the event that one or more User or any third party initiate any claim or legal action against other User based on the provision of the Services, each and every one of the users involved in such claims or actions waive RedCloud and its directors, managers, employees, agents, operators, representatives and attorneys from liability.
    9. The Seller must indemnify RedCloud, as well as its directors, managers, employees, agents, operators, representatives and attorneys, in the event of any loss or damage (including legal costs) caused by any claim formulated or presented by any third party based on (i) contents that the Seller gives, offers, publishes or transmits through the Services and/or the sale of the Products;(ii) the use of the Services or acquisition of a Product by the Buyer; or (iii) the non-compliance with these Terms by the User.
    10. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL REDCLOUD’S LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED IN THE AGGREGATE 100% OF THE FEES PAID IN CONNECTION WITH THE RELEVANT TRANSACTION WHICH GAVE RISE TO THE DISPUTE.
  17. Confidentiality
    1. The Parties agree to treat as confidential all information provided by either Party, as well as all information contained herein, and to prevent the disclosure of such information to third parties, either in whole or in part, without the prior written consent of the other Party (the “Confidential Information“).
    2. The Parties understand that information shall not be deemed to be confidential or proprietary to a Party when: (i) the information provided had already been known to the other Party; (ii) the information provided had already been in the public domain at the time it was disclosed by a Party, unless this occurs as a consequence of a disclosure made by such Party in breach of this Agreement or the Terms; or (iii) the Party had received the information from third parties who were under no obligation of confidentiality in relation to such information. It is further provided that either Party shall have the right to disclose the Confidential Information when so required under applicable law, or when strictly necessary in order to obtain any necessary governmental approval or to exercise the defence of its rights, provided that such Party notifies the other Party immediately of such requirement and allows the participation of such Party in the process in order to control such disclosure.
    3. The Parties are prohibited from obtaining confidential information by means of reverse engineering. “Reverse Engineering” shall mean all actions, including observing, testing, examining, reassembling and, if necessary, reassembling, with the aim of obtaining Confidential Information. This prohibition ends as soon as the product or the object on which the Confidential Information is based has been made publicly available through no fault of the Parties.
    4. The confidentiality obligation agreed in this Agreement shall remain in force even after the termination of this Agreement, whatever the cause of such termination may be, for a term of 5 (five) years or a longer term if the Confidential Information shall continue to be confidential or secret, counted as from the date of termination of the Agreement. In the case of Personal Data, the confidentiality obligation shall remain in force in perpetuity.
  18. Termination
    1. RedCloud and the User may, at any time during the term of this Contract, terminate it without cause by 30 days’ prior written notice, which will result in the closure of the User’s Account and termination of the User’s subscription, if applicable, but will not suspend the fulfillment of all Services requested already authorized by the User at the time of giving notice of termination. In this regard, the User shall remain liable for any Order, cost or any other activity incurred and for which the User is personally, directly or indirectly responsible prior to the time of closing the Account. For the purposes of exercising this power of termination, it is necessary that the party seeking termination of the Contract does not owe the other User or third parties involved in the Transactions the fulfillment of any obligation.
    2. The User shall pay any amount it remains liable for under this Agreement within 30 days of termination of this Contract. Any amount not paid within the 30 days of the date of termination, interest will accrue monthly on the amount due at a rate of 4% per annum.
    3. In addition, the Platform may, in case of breach by the User of the Terms or any other applicable law, or inactivity of the User on the Platform for a period longer than 12 (twelve) months, terminate the provision of Services without any prior notice, making statutory reserve of the right to claim damages that such breach has caused.

  19. General Provisions
    1. You agree that you are the owner of the mobile device, phone numbers and email addresses (and any other relevant device or account) with which you have registered in the Platform to use the Services, and you agree that you will inform us immediately by calling our call center if you change your phone number or other details or lose your device. You are responsible and shall hold RedCloud harmless from any Transaction or activity performed by you regarding your relationship with your telecommunications service provider or any other third party in connection with your use of the Services through your devices, such as charges for SMS or cell phone services.
    2. RedCloud reserves the right to modify, amend or update the Terms at any time in its sole discretion. Modifications shall be posted on the Platform and shall become effective on the day immediately following the day of posting. Such modifications shall be communicated by RedCloud to Users through the publication of an amended version of the Terms on the Platform. Any User who does not agree with the modifications made may immediately request the cancellation of the Account and must refrain from using the Platform. In the event that any User continues to use the Platform, such User will be deemed to have accepted the modified, amended or updated Terms.
    3. In the event that any provision of this Contract is declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining provisions of this Contract. Such void or unenforceable provision shall be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable. This Contract represents the entire agreement between the User and RedCloud with respect to the Marketplace and the provision of the Services (together with all other guidelines, directives and policies issued by RedCloud and related to the Platform or the Services) and supersedes any prior, parallel, oral or written proposals or representations between the parties. All provisions which, notwithstanding termination of the Contract or closure of your Account, by their nature shall remain in effect, will do so, including provisions related to the suspension of your Account and rights to use the Services or any part thereof, including, without limitation, provisions related to ownership, intellectual property, warranties and liabilities. The breach of any specific provision by either party, or the failure to act or take action against the other party in the event of a breach by either party, shall not be deemed as a waiver of such right.
    4. The User may not assign, transfer, delegate or dispose of the rights or obligations under this Contract, in whole or in part. RedCloud may assign, transfer, delegate or dispose of the rights or obligations under this Contract or its contractual position, in whole or in part, for which the User hereby gives his consent in advance to perform such actions.
    5. The Sellers are third parties unrelated and independent from RedCloud; they are not affiliated with RedCloud. They conduct their business independently by the manufacturing, purchase and/or subsequent sale of Products; they sale or resale the Products in their own name and bear the entire entrepreneurial risk of their activity on the Marketplace and bear the risk of insolvency of the respective Buyers of any Products or Services. RedCloud makes no representation or warranty as to the operation and performance of the Seller, as to the performance of any obligations assumed by the Buyers to third parties (including but not limited to Sellers) or as to any obligations assumed by such third parties to Buyers in connection with any sale or purchase of Products made on the Marketplace and/or any payments made thereon.
    6. The User’s acceptance of these Terms and any use of the Platform by User does not create – and shall not be construed to create – any partnership, joint venture, employment, agency, distributorship, franchise, or agency relationship between the respective User and RedCloud.
  20. Cookies
    1. The Platform may use a tracking system using “cookies”, so that access to information, when moving from page to page, is done more quickly. It also helps in some cases to identify Users, without the need to ask them for their password again and again. These cookies are small files sent by the visited page and are stored on the hard disk of the computer, occupying little space. Users are informed that by using their browser options they can limit or restrict the hosting of these “cookies” as they wish, although it is not advisable to restrict them completely. The system may collect information about your preferences and interests. In the event that this occurs, the information will be used exclusively for statistical purposes to improve the services provided on the Platform.
  21. Data Privacy
    1. In order to use the Platform efficiently and securely, Users must provide certain information, including their name and surname, e-mail account, telephone, billing information, without which it would be impossible to provide the Services. Therefore, it is required that the information provided is true and accurate. The personal information that Users enter on the Platform is completely confidential and we will do our best to protect their privacy. When data and numbers corresponding to credit cards are entered, these are encrypted, for greater security of the Users.
    2. The User may exercise their rights of access, rectification or deletion, and request exclusion in accordance with the provisions of the applicable regulations on the subject by sending an email to the help center. The Platform has adopted the security levels of protection of personal data legally required, and has installed all the technical means and measures at its disposal to prevent the loss, misuse, alteration, unauthorized access and theft of personal data.

  22. Governing Law and Jurisdiction
    1. These Terms, the Platform usage and the provision of the Services are governed by the laws of South Africa. In the event of a claim or dispute arising out of these Terms and/or your use of the Marketplace or the Services, you agree that the courts of South Africa shall have exclusive jurisdiction over such claims or disputes, without prejudice to your rights under applicable law.

  24. Project Leader
    1. For implementation purposes, each Party shall designate a person (the “Project Leader”) who will serve as valid and authorized interlocutor for each Party.  The Project Leaders will be authorized to interact between them in order to make verbal requests, suggestions and any other relevant communication for the purposes of improving the Services.
  25. Staff Obligations
    1. RedCloud will be solely and limited to responsibility for compliance with all labor, social security and tax obligations that determine the legal provisions that govern during the validity of this Agreement and that correspond to RedCloud in its capacity as employers and / or entrepreneurs of any person who is involved in the provision of the Service to the Company.
  26. Respect for Human Rights
    1. RedCloud is committed to respecting the human rights of people and their employees, avoiding discrimination, harassment, abuse or intimidation in any of its forms, in relation to: Age, language or origin; Nationality or race; Marital status, gender, pregnancy; Diseases; Ideas, opinions or free expression; Political or sexual preferences; Religion, decent working conditions; Social or economic condition; Special physical capabilities; Any other circumstance that violates the diversity, freedom or dignity of the people.
    2. In the event that the Company becomes aware that the aforementioned principles are not being met, it may notify RedCloud with recommendations.
    3. The User is a third party unrelated and independent from RedCloud; it is not affiliated with RedCloud. The User conducts its business independently by the manufacturing, purchase and/or subsequent sale of Products. It sells or resale the Products in their own name and bear the entire entrepreneurial risk of their activity of resale of the Products and bear the risk of insolvency of their customers. RedCloud makes no representation or warranty as to the operation and performance of the obligations of the User.
    4. In the event that any provision of this Agreement is declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining provisions of this Agreement. Such void or unenforceable provision shall be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable. This represents the entire Agreement between the User and RedCloud with respect to the provision of the Services (together with the Terms) and supersedes any prior, parallel, oral or written proposals or representations between the parties. All provisions which, notwithstanding termination of the Agreement, by their nature shall remain in effect, will do so, including, without limitation, provisions related to ownership, intellectual property, warranties and liabilities. The breach of any specific provision by either Party, or the failure to act or take action against the other Party in the event of a breach by either Party, shall not be deemed as a waiver of such right.
    5. The domiciles of the Parties abovementioned above are those that the Parties constitute for all purposes of this Agreement. Either Party may change its domicile to any other by giving prior notice to the other Party specifying its new domicile and contact person, but such change shall not be deemed to have occurred until the notice notifying the change is actually received by the other Party.

Brasil – Termos e Condições de Uso do Marketplace
  1. Geral
    1. Estes Termos e Condições de Uso do Marketplace (“Termos e Condições”) constituem um acordo legal e vinculante entre você e a RedCloud (“Contrato”), que rege seu uso do website https://red101market.redcloudtechnology.com (“Site”) e dos aplicativos deste para dispositivos de celular (coletivamente denominados “Marketplace”). Os Termos e Condições podem ser atualizados de tempos em tempos a critério exclusivo da RedCloud. Quando usado nestes Termos e Condições, “RedCloud”, “nós” ou “nosso” se referem à empresa RedCloud, com a qual você está contratando, e inclui os sucessores desta e qualquer pessoa a quem foram atribuídos direitos nos termos deste Contrato.
    2. O Marketplace é operado pela RedCloud Technologies Brasil Serviços Digitais LTDA, que atua no mercado como RedCloud. A RedCloud empresa constituída e registrada no Brasil, CNPJ sob o nº 47.597.633 10001-92  e com sede social  na Avenida Angélica, n. 2223, Suite 11S, Consolação, CEP 01.227-903, Brasil. Todas as notificações relativas aos Serviços estabelecidos neste instrumento devem ser enviadas ao seguinte endereço: suporte@redcloudtechnology.com.
    3. Favor ler os Termos e Condições cuidadosamente antes de usar o Marketplace. Ao criar uma Conta e acessar e usar o Marketplace, o Usuário aceita e reconhece que os Termos e Condições são obrigatórios e vinculantes. Caso o Usuário não concorde com os Termos e Condições, o Usuário deve abster-se de utilizar o Marketplace.
    4. O Usuário concorda em usar o Marketplace para fins legais, respeitando as leis e regulações aplicáveis, e de forma alguma deve usar o Marketplace ou seu conteúdo para fins contrários à lei e às políticas do Marketplace que podem ser emitidas ou alteradas pela RedCloud de tempos em tempos a critério exclusivo desta, ou de qualquer outra maneira que possa afetar seu funcionamento, segurança e/ou informações nele contidas.
    5. A RedCloud reserva-se o direito de aceitar sua aderência a estes Termos e Condições, e reserva-se o direito de usar sua discricionariedade no exercício de suas prerrogativas de acordo com a lei.
  2. Serviços
    1. O Marketplace é uma plataforma online B2B intermediária de serviços de compras que permite: (i) transações de compra entre Vendedores e Compradores (“Usuários”) para pedir e pagar por produtos online (“Serviços de Marketplace”), (ii) transações de pagamento entre Usuários, incluindo a capacidade de enviar créditos, respaldados por recursos mantidos pelos Usuários em suas Contas, como meios de pagamento (“Serviços de Pagamento”), (iii) acessibilidade de dados de Usuários e suas transações usando o Marketplace (“Serviços de Dados”) e (iv) campanhas de marketing estratégico (“Serviços de Marketing” e, em conjunto, os “Serviços”). As transações a serem realizadas no Marketplace são B2B e por isso não têm como objetivo conectar Vendedores com os consumidores finais.
    2. A RedCloud atua como controlador de dados no que diz respeito ao processamento de dados dos Usuários. A RedCloud processa os dados pessoais relacionados às vendas e compras feitas pelos Usuários para prestar os Serviços de Dados e coletar outros dados, valores e informações relevantes para a prestação dos Serviços de Marketing. Os Usuários consentem, por meio deste, com a referida coleta e uso de dados de acordo com estes Termos e Condições e a Política de Privacidade do Marketplace. Favor também consultar a Política de Privacidade.
    3. O Marketplace está disponível apenas para indivíduos ou pessoas jurídicas que cumpram os seguintes requisitos: (i) possuam capacidade jurídica para contratar e, eventualmente, vender e/ou adquirir Produtos (conforme definido abaixo) por meio do Marketplace; (ii) tenham aderido aos Serviços do Marketplace e vendam produtos na qualidade de empresas de produção e/ou distribuidores (“Vendedores”) ou vendam produtos no curso normal dos negócios como comerciantes (“Compradores”), e (iii) não sejam consumidores finais. Os Usuários que não cumprirem com os requisites mencionados anteriormente ou que tenham sido rejeitados e/ou temporariamente suspensos ou definitivamente desqualificados por nós para acessar o Marketplace, devem se abster de acessá-lo.
    4. O Marketplace está disponível no território brasileiro (quando se referir aos Vendedores) e/ou onde a loja está localizada (quando se referir aos Compradores) e não se destina a ser acessado de qualquer jurisdição de qualquer estado, país ou território que não aquele mencionado acima. Nem nós nem os Vendedores fazemos qualquer representação ou garantia de que o Marketplace ou quaisquer dos produtos são adequados ou estão disponíveis para uso, compra, entrega ou venda em outros locais.
  3. Cadastro
    1. Para usar os Serviços do Marketplace, os Usuários devem cadastrar-se criando uma conta de acesso e fornecendo detalhes de nome de usuário e senha, nome, endereço de e-mail, endereço postal, informações relacionadas ao pagamento dos Serviços e qualquer outra informação que possa ser razoavelmente exigida por nós (“Conta”), e aceitando estes Termos e Condições. Todas as informações fornecidas pelos Usuários devem ser precisas e válidas a todo tempo e qualquer alteração deve ser imediatamente notificada à RedCloud. A Conta permitirá que o Usuário utilize o Marketplace e acesse os Serviços. Os Usuários acessarão sua Conta por meio de um nome de usuário e uma senha pessoal, a serem escolhidos pelo próprio Usuário, e que devem ser mantidos em confidencialidade. A Conta é única e intransferível. Caso nós detectemos diferentes Contas contendo os mesmos dados ou dados similares, podemos cancelá-las, suspendê-las ou desativá-las. Além disso, qualquer Usuário que seja identificado operando com mais de uma Conta será bloqueado e não poderá mais usar o Marketplace.
    2. A RedCloud pode envidar esforços razoáveis para verificar a identidade do Usuário e os dados inseridos no momento do cadastro. A RedCloud não é responsável pela veracidade e precisão dos dados fornecidos pelos Usurários. A RedCloud reserva-se o direito de solicitar provas e/ou dados adicionais com a finalidade de corroborar os dados informados pelo Usuário, assim como suspender e/ou temporariamente ou permanentemente desativar aqueles Usuários cujos dados não puderam ser verificados. Adicionalmente, a RedCloud reserva-se o direito de suspender Usuários, temporariamente ou permanente, em caso de violação a estes Termos e Condições.
    3. Os Usuários concordam em manter a confidencialidade de seus nomes e senhas, e quaisquer outras configurações da Conta. O Usuário concorda em nos notificar, imediatamente, de qualquer uso não autorizado de sua Conta, e de manter a RedCloud isenta de responsabilidade caso isso gere danos a nós ou a terceiros.
  4. Serviços de Marketplace
    1. O Vendedor deve colocar produtos à venda e promover os Serviços nas categorias e subcategorias apropriadas, e os Compradores podem comprar produtos comercializados diretamente pelos Vendedores (“Produtos”) por meio do Marketplace. As descrições dos Produtos podem incluir textos descritivos, ilustrações, fotos e outros conteúdos e condições relevantes à venda dos Produtos, desde que eles não violem quaisquer direitos terceiro, legislação aplicável, disposições deste Contrato ou políticas da RedCloud.
    2. O Vendedor deve cumprir todas as obrigações regulatórias relevantes, como registros, licenças e/ou autorizações exigidas pelas regulações aplicáveis para os Produtos e Serviços oferecidos, bem como quaisquer informações de produto obrigatórias que devam ser incluídas nas ofertas relevantes, de acordo com as regulações aplicáveis. A RedCloud tem o direito de deletar qualquer oferta que não cumpra os requisitos legais, mas não tem qualquer obrigação de verificar a admissibilidade das ofertas.
    3. Além destes Termos e Condições, os Compradores concordam, ao adquirir um Produto, estar vinculados aos termos e condições de venda incluídos na publicação exibida no Marketplace, na medida em que tais termos e condições não violem as leis aplicáveis ou políticas da RedCloud. A oferta de compra de um Produto é irrevogável. As ofertas de compra só serão consideradas válidas uma vez que elas tenham sido processadas pelo Marketplace e recebidas pelo Vendedor.
    4. Uma vez que o Comprador tenha selecionado os Produtos para compra, tais Produtos serão incluídos no carrinho de compras do Comprador. Ao final do processo de seleção, o Comprador deve confirmar sua compra e informar o local e o método de entrega ou retirada, conforme oferecido pelo Vendedor, e a forma de pagamento (“Pedido”). Após a confirmação do Pedido, este será encaminhado ao Vendedor para aprovação (quem poderá aceitar o Pedido ou modificar os termos do Pedido ou rejeitar o Pedido, a seu critério). Aceito o Pedido, o Marketplace informará ao Comprador automaticamente. Os Produtos adquiridos por meio do Marketplace estarão sujeitos às condições de envio e entrega oferecidas pelo Vendedor, escolhidas pelo Comprador e disponíveis no Marketplace, e a RedCloud não terá qualquer responsabilidade com relação ao envio, entrega ou retirada, conforme o caso. Em caso de recebimento de Produtos danificados ou defeituosos, o Comprador pode fazer a reclamação correspondente ao Vendedor, se os termos do Vendedor e/ou a legislação aplicável permitirem.
    5. As formas de pagamento pelos Produtos adquiridos no Site podem ser: (i) cartão de crédito ou débito, (ii) a plataforma de pagamento “Red101” ou (iii) outros meios de pagamento que possam ser habilitados pelo Marketplace e aceitos pelos Vendedores no futuro.
    6. O Comprador deverá pagar o preço aprovado pelo Vendedor ao aceitar o Pedido e, caso aplicável, os custos de envio e entrega. O Vendedor deve emitir a fatura correspondente ao Comprador, sendo este o único método de cobrança disponível para compras realizadas por meio do Marketplace. Os Preços publicados no Marketplace não incluem os tributos relevantes.
    7. Ao aceitar estes Termos e Condições, o Comprador reconhece e concorda que a transação de compra e venda realizada com o Vendedor pode ser regida por condições adicionais que serão fornecidas pelo Vendedor de tempos em tempos. O Marketplace e a RedCloud não serão responsáveis por nenhum dos aspectos da transação entre o Comprador e o Vendedor, incluindo, mas não se limitando aos termos acordados entre o Comprador e o Vendedor, ao pagamento realizado pelo Comprador e/ou a qualquer defeito nos Produtos ou Serviços prestados pelo Vendedor.
  5. Aceitação de Pedidos
    1. Todos os Pedidos estão sujeitos à condição prévia de que o Vendedor valide e aceite a transação. Para validar a transação, o Vendedor deve verificar: (a) se possui os Produtos em estoque, no momento do recebimento do Pedido feito pelo Comprador; (b) se valida e aceita o valor e os meios de pagamento oferecidos pelo Comprador; e (c) qualquer outro aspecto relacionado ao Pedido (incluindo, mas não se limitando ao método de entrega). Se um Pedido incluir Produtos de diferentes Vendedores, este Pedido será dividido em sub-pedidos e cada um dos sub-pedidos será redirecionado ao Vendedor relevante, quem procederá com a aceitação mencionada acima. Os Compradores reconhecem e concordam que os Pedidos podem ser apenas parcialmente aceitos ou rejeitados na íntegra, dentro do prazo aplicável.
    2. O Comprador reconhece e concorda que os Pedidos podem ser rejeitados e/ou suspensos em determinados casos, mesmo depois de o Pedido ter sido aceito. Nesse sentido, o Marketplace pode não conseguir prosseguir com determinado processamento, nos seguintes casos, mas não limitados a: (a) quando o Produto pedido não estiver disponível; (b) quando o provedor do Serviço de Pagamento não autorizar o pagamento do preço ou o pagamento não tiver sido feito por qualquer motivo (se tal meio de pagamento estiver disponível no Marketplace); ou (c) quando os Compradores não atenderem aos critérios de pedido especificados nestes Termos e Condições. Além disso, em caso de força maior ou dificuldades logísticas no envio para determinadas áreas, o Marketplace e o Vendedor se reservam o direito de cancelar um Pedido e/ou aplicar termos e condições excepcionais. O Marketplace automaticamente notificará sobre o cancelamento e/ou aplicação de termos e condições excepcionais o mais rápido possível após a realização de um Pedido. O Vendedor será inteiramente responsável, de maneira independente, pelo reembolso, cancelamento e suporte pós-venda de quaisquer Produtos ou Serviços vendidos no Marketplace.
  6. Taxas
    1. Para cada Pedido, a RedCloud cobrará uma taxa entre 4% e 10% do preço total de todos os Produtos ou Serviços vendidos na transação (“Taxa”) ou qualquer remuneração diferente, conforme acordado no Contrato comercial. De acordo com o Contrato comercial à parte, determinados Vendedores podem concordar em responsabilizar-se pelas taxas de alguns ou todos os Compradores em determinados territórios sujeitos a termos adicionais. A Taxa aplicável será cobrada mensalmente do Vendedor correspondente.
  7. Meios de Pagamento
    1. O Marketplace possui diferentes fornecedores responsáveis pelo serviço de pagamento. Se os Usuários compartilharem informações de cartão de crédito ou débito no Marketplace e as disponibilizarem aos fornecedores e entidades responsáveis pela cobrança, os respectivos Usuários os autorizam a debitar as cobranças incorridas no Marketplace dos cartões de crédito ou débito fornecidos.
    2. Os Usuários consentem expressamente com o uso do crédito disponível na carteira da RedCloud como um dos métodos para pagamento dos Produtos ou Serviços oferecidos.
    3. Os Usuários podem depositar dinheiro em suas Contas (“Crédito”) como resultado de (i) transações feitas por meio do Marketplace e (ii) por meio de cartões de débito habilitados e redes de cobrança não bancárias ou utilizando quaisquer outros meios que possam ser indicados pelo Marketplace no devido tempo. O Crédito será creditado na Conta do Usuário de acordo com as taxas, tributos e descontos aplicáveis e os mecanismos e regras determinados pela RedCloud e aceitos pelo Usuário por meio destes Termos e Condições. O Usuário pode usar o Crédito para realizar transações descritas de acordo com as disposições destes Termos e Condições.
    4. O Marketplace pode oferecer e implementar serviços de pagamento adicionais, aos quais se aplicam termos e condições separados.
  8. Tributação Aplicável
    1. Será de responsabilidade exclusiva do Usuário determinar quais tributos, se houver, se aplicam à venda de Produtos, e é de responsabilidade exclusiva do Usuário remeter os tributos corretos à autoridade fiscal apropriada. Os Usuários concordam em pagar todos os tributos aplicáveis às autoridades relevantes. Na medida exigida por tal autoridade fiscal, a RedCloud pode fazer retenções na fonte para cobrir tais tributos e pagá-los à autoridade fiscal apropriada. O Usuário deve indenizar a RedCloud e isentá-la de responsabilidade por quaisquer demandas que possam ser feitas por autoridades fiscais com relação aos tributos, débitos e/ou juros aplicáveis relacionados com a venda e compra de Produtos e Serviços realizada pelos Usuários.
  9. Conformidade com disposições contratuais e atividades proibidas
    1. O Usuário deve cumprir todos os Termos e Condições previstos neste Contrato e quaisquer outras disposições estabelecidas pela RedCloud no âmbito da relação contratual aqui estabelecida, ex. políticas da RedCloud. Além disso, o Usuário concorda em: (i) não violar qualquer lei, estatuto, contrato ou regulação, (ii) não infringir quaisquer direitos de terceiros ou quaisquer direitos da RedCloud, incluindo direitos autorais, patentes, marcas, segredos de negócio ou outra propriedade intelectual e/ou direitos de privacidade, (iii) não envolver-se em qualquer conduta, verbal ou de outra natureza, que seja caracterizada como obscena, difamatória, ameaçadora ou que constitua assédio, (iv) não usar os Serviços para receber recursos como contraprestação por materiais e serviços de cunho sexual ou obsceno; (v) não usar os Serviços para receber recursos por tráfico de drogas, substâncias controladas e ilegais, esteroides ou medicamentos sob prescrição, (vi) não usar os Serviços para lavar dinheiro derivado de atividades ilegais, (vii) não fornecer informações falsas, imprecisas ou enganosas, (viii) não enviar ou receber recursos potencialmente fraudulentos, ilegítimos ou ilegais, (ix) não se recusar a cooperar com investigações ou fornecer confirmação da identidade dos Usuários ou qualquer informação que os Usuários nos tenham fornecido, (x) não tentar realizar qualquer ação que resulte em enriquecimento sem causa, (xi) não acessar o Marketplace de um país no qual os Serviços não são aprovados, (xii) não divulgar ou distribuir informações de outro Usuário a terceiros, (xiii) não usar informações de terceiros para fins de publicidade, a menos que você receba o consentimento expresso de tal Usuário para fazê-lo.
    2. Se tivermos razão para acreditar que um Usuário se envolveu em atividades proibidas, podemos adotar as medidas necessárias para proteger a RedCloud, outro Usuário, um terceiro ou o próprio Usuário de adversidades, demandas, taxas, multas, penalidades e qualquer outra responsabilidade.
  10. Propriedade Intelectual
    1. O mero acesso ao Marketplace não confere ao Usuário qualquer direito de uso sobre o conteúdo do Marketplace (seja o conteúdo passado, atual ou futuro). A RedCloud é titular ou licenciada de todos os direitos de propriedade intelectual gerados no Marketplace e dos Serviços e de qualquer material publicado em relação a eles, exceto aqueles que podem ser de titularidade exclusiva dos Vendedores e Compradores.
    2. Os conteúdos exibidos no Marketplace não podem, de forma alguma, ser copiados, distribuídos, reproduzidos ou divulgados, por qualquer meio, sob pena de responsabilidade civil e/ou criminal.
    3. O Usuário não pode alugar, arrendar, ou transferir quaisquer direitos de uso do software ou do Marketplace para qualquer terceiro. Se quaisquer Usuários descumprirem as instruções, implementação e requisitos de uso da RedCloud, tais Usuários serão responsabilizados por todos os danos sofridos pelo próprio Usuário, pela RedCloud e por quaisquer terceiros em decorrência da referida conduta. Os Usuários concordam em não alterar, reproduzir, adaptar, distribuir, exibir, publicar, traduzir, desmontar, descompilar ou de outra forma tentar criar qualquer código fonte derivado do software, dos Serviços e/ou do Marketplace. A RedCloud não detém, controla ou possui qualquer responsabilidade por aplicativos de software de terceiros que um Usuário possa escolher utilizar no Marketplace e/ou em relação aos Serviços. O nome e a logo da RedCloud, assim como todas as logos de nossos produtos e serviços, são propriedade da RedCloud, ou marcas registradas da RedCloud ou seu licenciante. Além disso, todas as ilustrações, ícones de botões e scripts são protegidos por direitos autorais de titularidade da RedCloud, marcas registradas e/ou segredos de negócio da RedCloud. Usuários não podem copiá-los, imitá-los, modificá-los ou usá-los sem nosso consentimento prévio por escrito.
    4. Os Usuários garantem que eles possuem todos os direitos relevantes para publicar os Produtos, suas marcas, suas logos e as reivindicações do produto no Marketplace. Ao carregar as informações, imagens, vídeos, documentação e quaisquer outros materiais no Marketplace, os Usuários autorizam a RedCloud e as empresas afiliadas desta a usar, publicar e/ou reproduzir as imagens e fotos incluídas em suas publicações, seus nomes empresarias, marcas registradas, frases publicitárias, logos, designs, desenhos, imagens e qualquer outro sinal distintivo que identifique os Usuários e seus produtos e serviços (“Marcas Registradas dos Usuários”), assim como as informações relacionadas a seus produtos e serviços (“Informações do Produto”), no Marketplace e para fins de comunicação e publicidade em quaisquer comunicações, anúncios ou campanhas emitidas pela RedCloud em qualquer meio de comunicação. O Usuário é obrigado a incluir no Marketplace as Informações do Produto, inclusive aqueles avisos exigidos pela legislação aplicável para venda ou publicidade de Produtos e Serviços. Os Usuários concedem à RedCloud, e suas empresas relacionadas, autorização gratuita, irrevogável, não-exclusiva, internacional e por tempo ilimitado para usar, publicar, reproduzir e/ou adaptar as imagens, fotos, marcas registradas dos Usuários e as Informações do Produto para serem utilizadas em todos os sites e aplicativos da RedCloud, redes sociais e/ou em qualquer meio de comunicação de massa ou não, incluindo, mas não se limitando a, plataformas e qualquer outra mídia física ou digital que a RedCloud considere apropriada.
    5. Os Usuários declaram e garantem que eles são os titulares e licenciados dos direitos necessários sobre as imagens, fotos contidas em suas publicações, sobre as Marcas Registradas dos Usuários, bem como sobre as Informações do Produto, e que possuem os direitos e poderes necessários para conceder a autorização detalhada nesta cláusula, sendo exclusivamente responsáveis por quaisquer violações a direitos de terceiros ou quaisquer inconsistências e imprecisões nas Informações dos Produtos.
  11. Limitação de Responsabilidade. Indenização
    1. Dado que o Marketplace é uma mera plataforma intermediária que conecta Comprador e Vendedor, este não participa das transações realizadas entre eles. Consequentemente, o Vendedor será responsável por todas as obrigações e encargos tributários aplicáveis à venda se seus Produtos e/ou Serviços, e o Marketplace e/ou a RedCloud não podem ser responsabilizados por nenhum tipo de não conformidade.
    2. O Vendedor é quem usa o Marketplace e publica seus Produtos e Serviços, e, consequentemente, define as condições de sua oferta (produtos ou serviços ofertados, preço, descrição, fotos, qualidade, quantidade, integridade, etc). Em todos os casos, os Vendedores serão responsáveis pela existência, qualidade, quantidade, integridade e/ou legitimidade dos Produtos e/ou Serviços que oferecem e isentarão o Marketplace e/ou a RedCloud de quaisquer ações ou demandas que possam surgir devido a uma oferta ou transação.
    3. O Marketplace está sujeito a possíveis problemas de interrupção, falhas técnicas ou indisponibilidade temporária de seus Serviços. Nós não devemos ser responsabilizados por danos de qualquer natureza que possam decorrer da indisponibilidade ou falta de continuidade das operações do Marketplace, embora a RedCloud envidará os esforços comercialmente razoáveis para garantir que os Pedidos sejam processados em tempo hábil, mas de forma alguma garante o tempo necessário para concluir o processamento destes.
    4. Nós usaremos nossos esforços comercialmente razoáveis para garantir a segurança e confiabilidade do Marketplace e do conteúdo disponível no Marketplace, utilizando diversos controles para detectar, prevenir e combater atividades maliciosas. No entanto, a RedCloud não será responsável por quaisquer danos resultantes de ações de terceiros, pela conduta imprópria do Usuário, ou por qualquer fato que de alguma forma esteja fora de nosso controle.
    5. A RedCloud não se responsabiliza pela navegação do Usuário em websites externos, ainda que estes estejam referenciados no Marketplace, de modo que é dever do Usuário ler os termos e condições, a Política de Privacidade e a Política de Cookies (caso aplicável) do website acessado, sendo o Usuário responsável por qualquer dano ou prejuízo sofrido em relação a esses sites de terceiros. A RedCloud não se responsabiliza por ordens, instruções, solicitações e/ou Pedidos errados ou incompletos causados por dados da Conta do destinatário, informações relevantes do destinatário ou da transação de pagamento que estejam errados, e tenham sido fornecidos pelo Usuário.
    6. A RedCloud não será responsável, de forma alguma, pelo cumprimento das obrigações assumidas pelos Usuários perante terceiros em relação aos Serviços.
    7. Em qualquer caso, a RedCloud não se responsabiliza por danos, lucros cessantes ou qualquer outro dano e/ou prejuízo, direto ou indireto, sofridos pelo Usuário em razão da venda ou compra de Produtos feita por meio do Marketplace. O Marketplace e a RedCloud não se responsabilizam por verificar as causas, quantidade ou qualquer circunstância relacionada aos Serviços ou à veracidade dos dados pessoais inseridos pelo Usuário. Caso um ou mais Usuários ou terceiros deem início a qualquer demanda ou ação legal contra outro Usuário baseado na prestação dos Serviços, cada um dos usuários envolvidos nessas demandas ou ações isenta a RedCloud e seus diretores, gerentes, empregados, agentes, operadores, representantes e advogados de responsabilidade.
    8. O Vendedor deve indenizar a RedCloud, assim como seus diretores, gerentes, empregados, agentes, operadores, representantes e advogados, em caso de qualquer perda ou dano (incluindo custos legais) causados por qualquer demanda formulada ou apresentada por qualquer terceiro com base (i) em conteúdos que os Vendedores dão, oferecem, publicam ou transmitem por meio dos Serviços e/ou da venda de Produtos; (ii) no uso dos Serviços ou aquisição de um Produto pelo Comprador; ou (iii) não cumprimento destes Termos e Condições pelo Usuário.
    9. DESDE QUE NÃO PROIBIDO POR LEI, EM NENHUMA CIRCUNSTÂNCIA A RESPONSABILIDADE DA REDCLOUD, DECORRENTE DE OU RELACIONADA A ESTE ACORDO, EXCEDERÁ O MONTANTE CORRESPONDENTE A 100% DAS TAXAS PAGAS COM RELAÇÃO À TRANSAÇÃO QUE DEU ORIGEM À DISPUTA, SEJA SOB RESPONSABILIDADE CONTRATUAL, CIVIL (INCLUINDO NEGLIGÊNCIA E RESPONSABILIDADE OBJETIVA) OU QUALQUER OUTRA TEORIA DE RESPONSABILIDADE.
  12. Rescisão do Contrato
    1. A RedCloud e o Usuário podem, a qualquer tempo durante a vigência deste Contrato, rescindi-lo de forma imotivada mediante aviso prévio, por escrito, de 30 dias, o que resultará no encerramento da Conta do Usuário e na rescisão da adesão do Usuário, caso aplicável, mas não suspenderá o cumprimento de todos os Serviços solicitados e já autorizados pelo Usuário no momento da notificação de rescisão. Nesse sentido, o Usuário permanecerá responsável por qualquer Pedido, custo ou qualquer outra atividade incorrida e pela qual o Usuário seja pessoalmente, direta ou indiretamente responsável antes do momento de encerramento da Conta.
    2. Além disso, em caso de violação por parte do Usuário dos Termos e Condições ou qualquer outra legislação aplicável, a RedCloud pode fechar a Conta do Usuário e, consequentemente, cessar qualquer prestação de Serviços sem qualquer aviso prévio, reservando-se o direito de demandar quaisquer danos que a referida violação possa ter causado.
  13. Disposições Gerais
    1. A RedCloud reserve-se o direito de modificar ou atualizar os Termos e Condições a qualquer tempo a seu critério e discricionariedade. As modificações devem ser publicadas no Marketplace e entrarão em vigor no dia imediatamente seguinte ao dia da publicação. Tais modificações devem ser comunicadas pela RedCloud aos Usuários por meio da publicação de uma versão alterada dos Termos e Condições no Marketplace. Qualquer Usuário que não concordar com as modificações realizadas, pode solicitar imediatamente o cancelamento de sua Conta, e deve se abster de usar o Marketplace. Caso qualquer Usuário continue usando o Marketplace, será considerado que o referido Usuário aceitou os Termos e Condições modificados ou atualizados.
    2. Caso qualquer uma das disposições deste Contrato seja declarada nula ou inexequível por qualquer tribunal de jurisdição competente, a referida declaração não terá qualquer efeito sobre as disposições remanescentes deste Contrato. A referida disposição nula ou inexequível será substituída por uma disposição válida e exequível, que se aproxime tanto quanto possível do efeito econômico desejado em tal disposição nula ou inexequível. Este Contrato representa todo o acordado entre o Usuário e a RedCloud no que diz respeito ao Marketplace e à prestação dos Serviços (em conjunto com todas as outras orientações, diretivas e políticas emitidas pela RedCloud e relacionadas ao Marketplace ou aos Serviços) e substitui quaisquer propostas ou representações anteriores, paralelas, orais ou escritas entre as partes. Todas as disposições que a despeito da rescisão do Contrato ou fechamento de sua Conta deverem, por sua natureza, permanecer em vigor, assim o farão, incluindo, disposições relacionadas à suspensão da sua Conta e direitos de uso dos Serviços ou qualquer parte deles, incluindo, mas não se limitado a disposições relativas à propriedade, propriedade intelectual, garantias e responsabilidade. A violação de qualquer disposição específica por qualquer das partes, omissão ou abstenção de adotar medidas contra a outra parte em caso de violação perpetrada por qualquer das partes, não será considerada renúncia a seus direitos.
    3. O Usuário não pode ceder, transferir, delegar ou dispor dos direitos e obrigações decorrentes deste Contrato, no todo ou em parte. A RedCloud pode ceder, transferir, delegar ou dispor dos direitos e obrigações decorrentes deste Contrato ou de sua posição contratual, no todo ou em parte. O Usuário consente, desde já, por meio do presente documento, com que a RedCloud realize os referidos atos.
    4. Os Vendedores são terceiros não relacionados à e independentes da RedCloud, não estando afiliados à RedCloud. Os Vendedores conduzem seus negócios de maneira independente por meio da fabricação, compra e/ou venda subsequente de Produtos; eles vendem ou revendem os Produtos em nome próprio e assumem todo o risco do negócio de sua atividade no Marketplace, assim como assumem o risco de insolvência dos respectivos Compradores de quaisquer Produtos ou Serviços. A RedCloud não oferece qualquer representação ou garantia com relação à operação e atuação do Vendedor no que diz respeito ao desempenho de quaisquer obrigações assumidas pelos Compradores perante terceiros (incluindo, mas não se limitando a, Vendedores) ou a quaisquer obrigações assumidas por esses terceiros perante os Compradores em relação a qualquer venda ou compra de Produtos feitas no Marketplace e/ou quaisquer pagamentos realizados no Marketplace.
    5. A aceitação destes Termos e Condições pelo Usuário e qualquer uso do Marketplace pelo Usuário não cria – e não deve ser interpretada como criação de – qualquer parceria, joint venture, emprego, agência, distribuição, franquia ou relação de agenciamento entre o respectivo Usuário e a RedCloud.
  14. Legislação Aplicável e Foro
    1. Estes Termos e Condições, o uso do Marketplace e a prestação dos Serviços são regidos pelas leis do Brasil. Em caso de demandas ou disputas decorrentes destes Termos e Condições e/ou uso do Marketplace ou dos Serviços, você concorda que os tribunais do Brasil terão competência exclusiva sobre tais demandas ou disputas, sem prejuízo de seus direitos nos termos da legislação aplicável.
  15. Legislação Aplicável e Foro
    1. Argentina – Términos y Condiciones de uso del Mercado en Línea
  1. Generalidades
    1. Los presentes Términos de Uso del Mercado (“Términos”) son un acuerdo legal vinculante entre el usuario y RedCloud (el “Contrato”) que regula el uso del sitio web https://marketplace-arg.redcloudtechnology.com (“Sitio”) y sus aplicaciones para dispositivos móviles (colectivamente, el “Mercado”). Los Términos pueden actualizarse periódicamente a discreción de RedCloud. Cuando se utiliza en estos Términos, “RedCloud”, “nosotros” o “nuestro”, se refiere a la entidad de RedCloud con la que se contrata e incluye a sus sucesores y a cualquier persona a la que se hayan cedido derechos en virtud de este Contrato.
    2. El Mercado es operado por RedCloud Trust SA, que opera como RedCloud. RedCloud está registrada en la Argentina con el número de CUIT 30-71593389-2 y su domicilio social se encuentra en: Sarmiento 767 2° F, CABA, Buenos Aires, C1041. Todas las notificaciones relacionadas con los Servicios aquí provistos deberán ser enviadas a la siguiente dirección: soporte@red101.com.
    3. Por favor lea atentamente los Términos antes de utilizar el Mercado. Al crear una Cuenta y acceder y utilizar el Mercado, el Usuario acepta y reconoce que los Términos son obligatorios y vinculantes. En caso de que el Usuario no esté de acuerdo con los Términos, deberá abstenerse de utilizar el Mercado.
    4. El Usuario se compromete a utilizar el Mercado con fines lícitos, respetando las leyes y reglamentos aplicables y en ningún caso utilizará el Mercado o su contenido con fines contrarios a la ley o a las políticas del Mercado que puedan ser emitidas o modificadas por RedCloud en cada momento a su entera discreción o de cualquier otra forma que pueda afectar a su funcionamiento, seguridad y/o información contenida en el mismo.
    5. RedCloud se reserva el derecho de aceptar su adhesión a estos Términos y se reserva el derecho de usar su discreción en el ejercicio de sus prerrogativas de acuerdo con la ley.
  2. Servicios
    1. El Mercado es una plataforma de compra de servicios de intermediación online B2B que permite: (i) transacciones de compra entre Vendedores y Compradores (los “Usuarios”) para ordenar y pagar productos en línea (“Servicios del Mercado”), (ii) transacciones de pago entre los Usuarios, incluyendo la posibilidad de enviar créditos respaldados por los fondos que los Usuarios tienen en su Cuenta como medio de pago (“Servicios de Pago”), (iii) la accesibilidad de los datos de los Usuarios y sus transacciones utilizando el Mercado (“Servicios de Datos”) y (iv) campañas de marketing estratégico (“Servicios de Marketing” y en conjunto, los “Servicios”). Las transacciones que se realizan en el Mercado son B2B y, por tanto, no están destinadas a conectar a los Vendedores con los consumidores finales.
    2. RedCloud actúa como responsable del tratamiento de los datos de los Usuarios. RedCloud trata los datos personales en relación con las ventas y compras realizadas por los Usuarios para prestar los Servicios de Datos y recoger otros datos, cifras e información relevante para la prestación de los Servicios de Marketing. Los Usuarios consienten por la presente dicha recogida y uso de datos de acuerdo con estos Términos y la Política de Privacidad del Mercado. Por favor, consulte también la Política de Privacidad.
    3. El Mercado sólo está disponible para personas físicas o jurídicas que cumplan los siguientes requisitos (i) que tengan capacidad legal para contratar y eventualmente vender y/o adquirir Productos (tal y como se define a continuación) a través del Mercado; (ii) que se hayan suscrito a los Servicios del Mercado y que vendan productos en su papel de empresas fabricantes y/o distribuidoras (los “Vendedores”) o que vendan productos en el curso habitual de su actividad como comerciantes (los “Compradores”); y (iii) que no sean consumidores finales. Los Usuarios que no cumplan con los requisitos anteriores o que hayan sido rechazados y/o suspendidos temporalmente o inhabilitados definitivamente para acceder al Mercado por nosotros, deberán abstenerse de acceder al mismo.
    4. El Mercado está disponible en el territorio de Argentina (cuando se refiere a los Vendedores) y/o en el lugar donde se encuentra la tienda (cuando se refiere a los Compradores) y no está destinado a ser accedido desde cualquier jurisdicción de cualquier estado, país o territorio distinto de los mencionados. Ni nosotros ni los Vendedores realizamos ninguna declaración o garantía de que el Mercado o cualquiera de los productos sean adecuados o estén disponibles para su uso, compra, entrega o venta en otros lugares.
  3. Registro
    1. Para utilizar los Servicios del Mercado, los Usuarios deben registrarse creando una cuenta de acceso y proporcionando nombre y contraseña de acceso, nombre, dirección de correo electrónico, dirección postal, información relacionada con el pago de los Servicios y cualquier otra información que pueda ser razonablemente requerida por nosotros (la “Cuenta”) y aceptando estos Términos. Toda la información proporcionada por los Usuarios deberá ser exacta y válida en todo momento y cualquier cambio deberá ser notificado inmediatamente a nosotros. La Cuenta permitirá al Usuario utilizar el Mercado y acceder a los Servicios. Los Usuarios accederán a su Cuenta a través de un nombre de usuario y una contraseña personal a elegir por el Usuario, que se mantendrá confidencial. La Cuenta es única e intransferible. En el caso de que detectemos diferentes Cuentas que contengan los mismos datos o datos relacionados, podremos cancelarlas, suspenderlas o inhabilitarlas. Además, cualquier Usuario que se verifique que opera con más de una Cuenta será bloqueado y no podrá seguir utilizando el Mercado.
    2. RedCloud podrá realizar esfuerzos razonables para verificar la identidad del Usuario y los datos introducidos en el momento del registro. RedCloud no se responsabiliza por la veracidad o exactitud de los datos facilitados por los Usuarios. RedCloud se reserva el derecho de solicitar pruebas y/o datos adicionales a efectos de corroborar los datos comunicados por el Usuario, así como suspender y/o inhabilitar temporal o definitivamente a aquellos Usuarios cuyos datos no hayan podido ser verificados. Adicionalmente, RedCloud se reserva el derecho de suspender temporal o definitivamente a los Usuarios en caso de incumplimiento de los Términos.
    3. El Usuario se compromete a mantener la confidencialidad de su nombre y contraseña y de cualquier otra configuración de la Cuenta. El Usuario se compromete a notificarnos inmediatamente cualquier uso no autorizado de su Cuenta, y a eximir a RedCloud de toda responsabilidad si esto nos causa algún daño a nosotros o a terceros.
  4. Servicios del Mercado
    1. El Vendedor deberá poner a la venta productos y promocionar los Servicios en las categorías y subcategorías adecuadas y los Compradores podrán adquirir a través del Mercado productos comercializados directamente por los Vendedores (los “Productos”). Las descripciones de los Productos pueden incluir textos descriptivos, gráficos, fotografías y otros contenidos y condiciones relevantes para la venta de los Productos, siempre que no violen ningún derecho de terceros, la legislación aplicable, la disposición de este Contrato o las políticas de RedCloud.
    2. El Vendedor deberá cumplir con todas las obligaciones normativas pertinentes, tales como registros, autorizaciones, permisos y/o autorizaciones requeridas por la normativa aplicable para los Productos y Servicios ofrecidos, así como con cualquier información obligatoria sobre el producto que deba incluirse en las ofertas correspondientes de acuerdo con la normativa aplicable. RedCloud tendrá derecho a eliminar cualquier oferta que no cumpla con los requisitos legales, pero no tiene la obligación de comprobar la admisibilidad de las ofertas.
    3. Además de los presentes Términos, los Compradores aceptan que, al comprar un Producto, quedan vinculados por los términos y condiciones de venta incluidos en la publicación expuesta en el Mercado, en la medida en que dichos términos y condiciones no violen las leyes o políticas aplicables de RedCloud. La oferta de compra de un Producto es irrevocable. Las ofertas de compra sólo se considerarán válidas una vez que hayan sido procesadas por el Mercado y recibidas por el Vendedor.
    4. Una vez que el Comprador haya seleccionado los Productos para su compra, dichos Productos se incluirán en la cesta de compra del Comprador. Al final del proceso de selección, el Comprador deberá confirmar su compra e introducir el lugar y la forma de entrega o recogida, según lo ofrecido por el Vendedor, y la forma de pago (el “Pedido”). Una vez confirmado el Pedido, éste será remitido al Vendedor para su aprobación (quien podrá aceptar el Pedido, modificar los términos del mismo o rechazarlo, a su sola discreción). Una vez aceptado el Pedido, el Mercado informará automáticamente al Comprador. Los Productos adquiridos a través del Mercado estarán sujetos a las condiciones de envío y entrega ofrecidas por el Vendedor elegido por el Comprador y disponibles en el Mercado y RedCloud no tendrá responsabilidad alguna en relación con dicho envío y entrega o recogida, según corresponda. En caso de recibir Productos dañados o defectuosos, el Comprador podrá realizar la correspondiente reclamación al Vendedor si las condiciones del vendedor y/o la legislación aplicable lo permiten.
    5. La forma de pago de los Productos adquiridos en el Sitio podrá realizarse mediante: (i) tarjeta de crédito o débito, (ii) la plataforma de pago “Red101” o (iii) cualquier otro medio de pago que sea habilitado por el Mercado y aceptado por los Vendedores en el futuro.
    6. El Comprador pagará el precio aprobado por el Vendedor al aceptar el Pedido y, en su caso, los gastos de envío y entrega. El Vendedor emitirá la correspondiente factura al Comprador, siendo ésta la única modalidad de facturación disponible para las compras a través del Mercado.
    7. Al aceptar estos Términos, el Comprador reconoce y acepta que la operación de compraventa que realice con el Vendedor puede estar regida por condiciones adicionales que serán facilitadas por el Vendedor en cada momento. El Mercado y RedCloud no serán responsables de ningún aspecto de la transacción entre el Comprador y el Vendedor, incluyendo pero no limitándose a las condiciones acordadas entre el Comprador y el Vendedor, el pago por parte del Comprador y/o cualquier defecto en los Productos o Servicios proporcionados por el Vendedor.
  5. Aceptación de Pedidos
    1. Todos los Pedidos están sujetos a la condición suspensiva de que el Vendedor valide la transacción y la acepte. Para validar la transacción, el Vendedor deberá verificar (a) que dispone, en el momento de la recepción del Pedido por parte del Comprador, de los Productos en stock; (b) que valida y acepta el importe y los medios de pago ofrecidos por el Comprador; y (c) cualquier otro aspecto relacionado con el Pedido (incluyendo, a título enunciativo, la forma de entrega). Si un Pedido incluye Productos de diferentes Vendedores, dicho Pedido se dividirá en subpedidos y cada uno de los subpedidos se redirigirá al Vendedor correspondiente, que procederá a la aceptación mencionada. Los Compradores reconocen y aceptan que los Pedidos pueden ser aceptados parcialmente o rechazados en su totalidad a partir de ese momento.
    2. El Comprador reconoce y acepta que los Pedidos pueden ser rechazados y/o suspendidos en determinados casos incluso después de que el Pedido haya sido aceptado. El Mercado puede no poder realizar determinados procesamientos, en los siguientes casos, sin limitación: (a) cuando el Producto solicitado no esté disponible; (b) cuando el proveedor de servicios de pago no autorice el pago del precio o el pago no se haya realizado por cualquier motivo (si dicho medio de pago está disponible en el Mercado); o (c) cuando los Compradores no cumplan los criterios de pedido especificados en estos Términos. Además, en caso de fuerza mayor o de dificultades logísticas en el envío a determinadas zonas, el Mercado y el Vendedor se reservan el derecho de cancelar un Pedido y/o aplicar condiciones excepcionales. El Mercado notificará automáticamente la cancelación y/o la aplicación de términos y condiciones excepcionales tan pronto como sea posible después de realizar un Pedido. El Vendedor será independiente y enteramente responsable del reembolso, la cancelación y la asistencia postventa de cualquier Producto o Servicio vendido en el Mercado.
  6. Comisión
    1. Por cada Pedido, RedCloud cobrará una comisión entre 4% y 10% del precio total de todos los Productos o Servicios vendidos en esa transacción (la “Comisión”) o cualquier otra remuneración diferente acordada en el Acuerdo Comercial. Según el Acuerdo Comercial separado, algunos Vendedores pueden acordar patrocinar las comisiones de algunos o todos los Compradores en ciertos territorios sujetos a términos adicionales. La Comisión aplicable se facturará mensualmente al Vendedor correspondiente.
    2. El Precio incluye los costes de implementación y de soporte técnico y comercial. El Precio incluye las tasas por el uso de los servicios de pago que cubren la digitalización del efectivo. No incluye las tasas de procesamiento de pagos de terceros, como Visa/Amex, etc.
  7. Facturación
    1. RedCloud facturará a la Empresa el último día de cada mes por los Servicios prestados en el transcurso de ese mes. Las condiciones de pago de RedCloud consisten en que sus facturas son pagaderas en el momento en que usted las recibe. La Empresa se compromete a pagar las facturas de RedCloud cuando las reciba.
  8. Medios de pago
    1. El Mercado cuenta con diferentes proveedores encargados del servicio de pago. Si los Usuarios comparten la información de la tarjeta de crédito o débito en el Mercado y la ponen a disposición de dichos proveedores o entidades encargadas del cobro, el Usuario respectivo les autoriza a cargar en la tarjeta de crédito o débito proporcionada los cargos incurridos en el Mercado.
    2. Los Usuarios consienten expresamente la utilización del crédito disponible en el monedero de RedCloud como uno de los métodos para el pago de los Productos o Servicios ofrecidos.
    3. Los Usuarios podrán ingresar dinero en su Cuenta (el “Crédito”) como resultado de (i) las transacciones realizadas a través del Mercado y (ii) a través de tarjetas de débito habilitadas y redes de cobro extrabancarias o utilizando cualquier otro medio que pueda indicar el Mercado en su momento . El Crédito se acreditará en la Cuenta del Usuario de acuerdo con las tarifas, impuestos y descuentos aplicables y los mecanismos y reglas determinados por RedCloud y aceptados por el Usuario a través de estos Términos. El Usuario podrá utilizar el Crédito para realizar las transacciones descritas de acuerdo con lo establecido en estos Términos.
    4. El Mercado puede ofrecer e implementar servicios de pago adicionales, para los cuales se aplican términos y condiciones separados.
  9. Impuestos aplicables
    1. Será responsabilidad exclusiva del Usuario determinar qué impuestos, en su caso, se aplican a la venta de Productos, y es responsabilidad exclusiva del Usuario remitir el impuesto correcto a la autoridad fiscal correspondiente. El Usuario se compromete a pagar todos los impuestos aplicables a las autoridades pertinentes. En la medida en que lo exija dicha autoridad fiscal, RedCloud podrá realizar retenciones para cubrir dichos impuestos y pagarlos a la autoridad fiscal correspondiente. El Usuario indemnizará y mantendrá indemne a RedCloud por cualquier reclamación que puedan hacer las autoridades fiscales con respecto a los impuestos, deudas y/o intereses aplicables relacionados con la compraventa de Productos y Servicios realizada por los Usuarios.
  10. Cesión de derechos
    1. La Empresa no podrá ceder, transferir, delegar o disponer de los derechos u obligaciones derivados de este Acuerdo, en su totalidad o en parte, sin el consentimiento de RedCloud por escrito. RedCloud podrá ceder, transferir, delegar o disponer de los derechos u obligaciones derivados de este Acuerdo o de su posición contractual, en todo o en parte, para lo cual la Empresa da su consentimiento por adelantado para llevar a cabo dichas acciones.
  11. Marcas comerciales
    1. La Empresa concede a RedCloud una licencia para utilizar su nombre comercial y su logotipo para publicitar y comunicar la participación de la Empresa como usuario de la Plataforma Red101 durante la vigencia del presente Acuerdo.
  12. Cumplimiento de las disposiciones contractuales y actividades prohibidas
    1. El Usuario se compromete a cumplir todas las condiciones establecidas en el presente Acuerdo y cualquier otra instrucción establecida por RedCloud en el marco de la relación contractual aquí instrumentada, por ejemplo, las políticas de RedCloud. Además, el Usuario se compromete a (i) no infringir ninguna ley, estatuto, contrato o reglamento aplicable, (ii) no infringir ningún derecho de terceros ni ningún derecho de RedCloud, incluidos los derechos de autor, patentes, marcas comerciales, secretos comerciales u otros derechos de propiedad intelectual y/o de privacidad, (iii) no participar en conductas verbales o de otro tipo que se caractericen por ser obscenas, difamatorias, amenazantes o que constituyan acoso, (iv) no utilizar los Servicios para recibir fondos como contraprestación por materiales o servicios de carácter sexual u obsceno; (v) no utilizar los Servicios para recibir fondos para el tráfico de drogas, sustancias controladas o ilegales, esteroides o medicamentos recetados, (vi) no utilizar los Servicios para blanquear dinero procedente de actividades ilegales, (vii) no proporcionar información falsa, inexacta o engañosa, (viii) no enviar o recibir fondos potencialmente fraudulentos, ilegítimos o ilegales, (ix) no negarse a cooperar en una investigación o proporcionar la confirmación de la identidad de los Usuarios o cualquier información que los Usuarios nos hayan proporcionado, (x) no intentar llevar a cabo ninguna acción que dé lugar a un enriquecimiento ilícito, (xi) no acceder al Mercado desde un país en el que los Servicios no estén aprobados, (xii) no revelar o distribuir la información de otro Usuario a un tercero, (xiii) no utilizar la información de terceros con fines de marketing a menos que reciba el consentimiento explícito de dicho Usuario para hacerlo.
    2. Si tenemos motivos para creer que un Usuario ha realizado actividades prohibidas, podemos emprender las acciones necesarias para proteger a RedCloud, a otro Usuario, a un tercero o al propio Usuario de contratiempos, reclamaciones, tasas, multas, sanciones y cualquier otra responsabilidad.
  13. Propiedad Intelectual
    1. El mero acceso al Mercado no otorga al Usuario ningún derecho de uso sobre los contenidos del Mercado (ya sean contenidos pasados, actuales o futuros). RedCloud es la propietaria o licenciataria de todos los derechos de propiedad intelectual generados en el Mercado y de los Servicios y de cualquier material publicado en relación con ellos, salvo los que puedan ser propiedad exclusiva de los Vendedores y Compradores.
    2. Los contenidos expuestos en el Mercado no pueden, de ninguna manera, ser copiados, distribuidos, reproducidos o divulgados, por cualquier medio, bajo pena de responsabilidad civil y/o penal.
    3. El Usuario no podrá alquilar, arrendar o transferir ningún derecho de uso del software o del Mercado a terceros.
    4. En caso de que los Usuarios no cumplan con las instrucciones, la implementación y los requisitos de uso de RedCloud, dichos Usuarios serán responsables de todos los daños resultantes sufridos por el propio Usuario, RedCloud y cualquier tercero. Los Usuarios se comprometen a no alterar, reproducir, adaptar, distribuir, mostrar, publicar, traducir, desensamblar, descompilar o intentar crear cualquier código fuente derivado del software, los Servicios y/o el Mercado. RedCloud no posee, controla ni tiene ninguna responsabilidad por las aplicaciones de software de terceros que un Usuario pueda decidir utilizar en el Mercado y/o en relación con los Servicios. El nombre y el logotipo de RedCloud, así como todos los logotipos relacionados con nuestros productos y servicios, son propiedad de RedCloud o marcas registradas de RedCloud o de su licenciante. Además, todos los gráficos, iconos de botones y scripts están protegidos por derechos de autor propiedad de RedCloud, marcas comerciales y/o secretos comerciales de RedCloud. Los usuarios no pueden copiar, imitar, modificar, alterar o utilizarlos sin nuestro consentimiento previo por escrito.5. Los Usuarios garantizan que tienen todos los derechos pertinentes para publicar los Productos, sus marcas, logotipos y reclamaciones de productos en el Mercado. Al subir la información, imágenes, vídeos, documentación y cualquier otro material al Mercado, los Usuarios autorizan a RedCloud y a sus empresas afiliadas a utilizar, publicar y/o reproducir las imágenes y fotografías incluidas en sus publicaciones, su nombre comercial, marcas, frases publicitarias, logotipos, diseños, dibujos imágenes y cualquier otro signo distintivo que identifique a los Usuarios y sus productos o servicios (la “Marca de los Usuarios”) y la información relativa a sus productos o servicios (“Información de los Productos”) dentro del Mercado y con fines de comunicación y publicidad en cualquier comunicación, anuncio o campaña emitida por RedCloud en cualquier medio de comunicación disponible. Será obligación del Usuario incluir en el Mercado la Información del Producto, incluyendo aquellas advertencias exigidas por la legislación aplicable para la venta o publicidad de los Productos y Servicios. Los Usuarios conceden a RedCloud y a sus empresas vinculadas una autorización gratuita, irrevocable, no exclusiva, internacional y por tiempo ilimitado para utilizar, publicar, reproducir y/o adaptar las imágenes, fotografías, la Marca de los Usuarios, y la Información de los Productos para ser utilizados en todos los sitios y aplicaciones de RedCloud, redes sociales y/o en cualquier medio de comunicación masivo y no masivo, incluyendo, sin limitación, plataformas y cualquier otro medio digital o físico que RedCloud considere oportuno.6. Los Usuarios declaran y garantizan que son titulares o licenciatarios de los derechos necesarios sobre las imágenes, fotografías contenidas en sus publicaciones, sobre las Marcas de los Usuarios, así como sobre la Información de los Productos, y que tiene los derechos y facultades necesarias para otorgar la autorización detallada en esta cláusula, siendo exclusivamente responsable de cualquier infracción de derechos de terceros o de cualquier incoherencia o inexactitud en la Información de los Productos.
  14. Limitación de la responsabilidad. Indemnización
    1. Dado que el Mercado es una mera plataforma de intermediación que pone en contacto a Comprador y Vendedor, no participa en las transacciones realizadas entre ellos. En consecuencia, el Vendedor será responsable de todas las obligaciones y cargas fiscales aplicables a la venta de sus Productos y/o Servicios, sin que el Mercado y/o RedCloud puedan ser considerados responsables de cualquier tipo de incumplimiento.
    2. Es el Vendedor quien utiliza el Mercado y publica sus Productos y Servicios, y en consecuencia define las condiciones de su oferta (producto o servicio ofrecido, precio, descripción, fotos, calidad, cantidad, integridad, etc.). En todos los casos, los Vendedores serán responsables de la existencia, calidad, cantidad, integridad y/o legitimidad de los Productos y/o Servicios que ofrecen y mantendrán indemne al Mercado y/o a RedCloud por cualquier acción o reclamación que pueda surgir a causa de una oferta o transacción.
    3. El Mercado está sujeto a posibles problemas de interrupción, fallos técnicos e indisponibilidad temporal de los Servicios. No seremos responsables de los daños y perjuicios de cualquier naturaleza que puedan producirse debido a la indisponibilidad o falta de continuidad de las operaciones del Mercado, aunque RedCloud hará los esfuerzos comercialmente razonables para asegurar que los Pedidos se procesen de manera oportuna, pero en ningún caso garantiza el tiempo necesario para completar su procesamiento.
    4. Haremos nuestros esfuerzos comercialmente razonables para garantizar la seguridad y la fiabilidad del Mercado y del contenido disponible en el Mercado mediante el uso de diversos controles para detectar, prevenir y combatir la actividad maliciosa. No obstante, RedCloud no será responsable de los daños derivados de la actuación de terceros, de la conducta indebida del Usuario o de cualquier hecho que, de alguna manera, esté fuera de nuestro control.
    5. RedCloud no se responsabiliza de la navegación del Usuario por sitios web externos, aunque estuvieran referenciados en el Mercado, por lo que es obligación del Usuario leer los términos y condiciones, la Política de Privacidad y la Política de Cookies (en su caso) del sitio web al que acceda, siendo el Usuario responsable de cualquier daño o perjuicio que sufra en relación con dichos sitios de terceros. RedCloud no será responsable de los pedidos, instrucciones, solicitudes y/o Pedidos erróneos o incompletos causados por datos erróneos de la Cuenta del destinatario, información relevante del destinatario o de la operación de pago, facilitados por el Usuario.
    6. RedCloud no será responsable en ningún caso del cumplimiento de las obligaciones asumidas por los Usuarios con terceros en relación con los Servicios.
    7. En todo caso, RedCloud no será responsable de los daños directos o indirectos, lucro cesante, o cualquier otro daño y/o perjuicio que sufra el Usuario, por la compraventa de Productos realizada a través del Mercado. Ni el Mercado ni RedCloud serán responsables de verificar las causas, el importe o cualquier otra circunstancia relativa a los Servicios o a la veracidad de los datos personales introducidos por el Usuario. En el caso de que uno o varios Usuarios o cualquier tercero inicien cualquier reclamación o acción legal contra otro Usuario basada en la prestación de los Servicios, todos y cada uno de los usuarios implicados en dichas reclamaciones o acciones eximen de responsabilidad a RedCloud y a sus directores, gerentes, empleados, agentes, operadores, representantes y abogados.
    8. El Vendedor deberá indemnizar a RedCloud, así como a sus directores, gerentes, empleados, agentes, operadores, representantes y abogados, en caso de cualquier pérdida o daño (incluidos los costes legales) causados por cualquier reclamación formulada o presentada por cualquier tercero basada en (i) los contenidos que el Vendedor dé, ofrezca, publique o transmita a través de los Servicios y/o la venta de los Productos; (ii) el uso de los Servicios o la adquisición de un Producto por parte del Comprador; o (iii) el incumplimiento de estos Términos por parte del Usuario.
    9. EN LA MEDIDA EN QUE NO LO PROHÍBA LA LEY, EN NINGÚN CASO LA RESPONSABILIDAD DE REDCLOUD DERIVADA DE ESTE ACUERDO O RELACIONADA CON ÉL, YA SEA POR CONTRATO, AGRAVIO (INCLUIDA LA NEGLIGENCIA Y LA RESPONSABILIDAD ESTRICTA) O EN VIRTUD DE CUALQUIER OTRA TEORÍA DE RESPONSABILIDAD, SUPERARÁ EN CONJUNTO EL 100% DE LAS TARIFAS PAGADAS EN RELACIÓN CON LA TRANSACCIÓN PERTINENTE QUE DIO LUGAR A LA DISPUTA.
  15. Confidencialidad
    1. Las Partes acuerdan tratar como confidencial toda la información proporcionada por cualquiera de las Partes, así como toda la información contenida en el presente documento, y evitar la divulgación de dicha información a terceros, ya sea en su totalidad o en parte, sin el previo consentimiento por escrito de la otra Parte (la “Información Confidencial”).
    2. Las Partes entienden que la información no se considerará confidencial o de propiedad de una Parte cuando (i) la información proporcionada ya era conocida por la otra Parte; (ii) la información proporcionada ya era de dominio público en el momento en que fue revelada por una Parte, a menos que esto ocurra como consecuencia de una revelación realizada por dicha Parte en incumplimiento de este Acuerdo o de los Términos; o (iii) la Parte había recibido la información de terceros que no tenían ninguna obligación de confidencialidad en relación con dicha información. Asimismo, se establece que cualquiera de las Partes tendrá derecho a revelar la Información Confidencial cuando así lo exija la legislación aplicable, o cuando sea estrictamente necesario para obtener cualquier aprobación gubernamental necesaria o para ejercer la defensa de sus derechos, siempre que dicha Parte notifique a la otra inmediatamente de dicho requerimiento y permita la participación de dicha Parte en el proceso para controlar dicha revelación.
    3. Las Partes tienen prohibido obtener información confidencial mediante ingeniería inversa. “Ingeniería inversa” significará todas las acciones, incluyendo la observación, prueba, examen, reensamblaje y, si es necesario, remontaje, con el objetivo de obtener Información Confidencial. Esta prohibición finaliza en el momento en que el producto o el objeto en el que se basa la Información Confidencial se ha hecho público sin culpa de las Partes.
    4. La obligación de confidencialidad acordada en este Acuerdo permanecerá en vigor incluso después de la terminación de este Acuerdo, cualquiera que sea la causa de dicha terminación, durante un plazo de 5 (cinco) años o un plazo mayor si la Información Confidencial sigue siendo confidencial o secreta, contados a partir de la fecha de terminación del Acuerdo según la cláusula 2 de este Acuerdo. En el caso de los Datos Personales, la obligación de confidencialidad permanecerá vigente a perpetuidad.
  16. Terminación del Contrato
    1. RedCloud y el Usuario podrán, en cualquier momento de la vigencia del presente Acuerdo, darlo por terminado sin causa alguna mediante notificación previa por escrito con 30 días de antelación, lo que supondrá el cierre de la Cuenta del Usuario y la finalización de la suscripción del Usuario, en su caso, pero no suspenderá el cumplimiento de todos los Servicios solicitados ya autorizados por el Usuario en el momento de dar la notificación de terminación. En este sentido, el Usuario seguirá siendo responsable de cualquier Pedido, coste o cualquier otra actividad en la que haya incurrido y de la que sea personal, directa o indirectamente responsable antes del momento del cierre de la Cuenta.
    2. Además, RedCloud podrá, en caso de incumplimiento por parte del Usuario de los Términos o de cualquier otra ley aplicable, cerrar la Cuenta del Usuario y, en consecuencia, poner fin a cualquier prestación de Servicios sin previo aviso, reservándose el derecho a reclamar los daños y perjuicios que dicho incumplimiento haya podido causar.
    3. Cualquier notificación que se realice a una de las partes en virtud de este acuerdo o en relación con el mismo, se realizará por escrito y se enviará por correo electrónico:contract-notices@redcloudtechnology.com
    4. Esta cláusula no se aplica a la notificación de cualquier procedimiento u otros documentos en cualquier acción legal o, en su caso, cualquier arbitraje u otro método de resolución de conflictos.
  17. Disposiciones generales
    1. RedCloud se reserva el derecho de modificar, enmendar o actualizar los Términos en cualquier momento a su entera discreción. Las modificaciones se publicarán en el Mercado y entrarán en vigor el día inmediatamente posterior al de su publicación. Dichas modificaciones serán comunicadas por RedCloud a los Usuarios mediante la publicación de una versión modificada de los Términos en el Mercado. Cualquier Usuario que no esté de acuerdo con las modificaciones realizadas podrá solicitar inmediatamente la cancelación de la Cuenta y deberá abstenerse de utilizar el Mercado. En el caso de que cualquier Usuario continúe utilizando el Mercado, se considerará que dicho Usuario ha aceptado los Términos modificadas, enmendadas o actualizadas.
    2. En el caso de que cualquier disposición de este Acuerdo sea declarada nula o inaplicable por cualquier tribunal de la jurisdicción competente, dicha declaración no tendrá ningún efecto sobre las restantes disposiciones de este Acuerdo. Dicha disposición nula o inaplicable será sustituida por una disposición válida y aplicable que se acerque lo más posible al efecto económico deseado de dicha disposición nula o inaplicable. El presente Acuerdo representa la totalidad del acuerdo entre el Usuario y RedCloud en relación con el Mercado y la prestación de los Servicios (junto con todas las demás pautas, directrices y políticas emitidas por RedCloud y relacionadas con el Mercado o los Servicios) y sustituye a cualquier propuesta o representación anterior, paralela, oral o escrita, entre las partes. Todas las disposiciones que, a pesar de la terminación del Acuerdo o el cierre de su Cuenta, por su naturaleza, seguirán en vigor, lo harán, incluidas las disposiciones relacionadas con la suspensión de su Cuenta y los derechos de uso de los Servicios o cualquier parte de los mismos, incluyendo, sin limitación, las disposiciones relacionadas con la propiedad, la propiedad intelectual, las garantías y las responsabilidades. El incumplimiento de cualquier disposición específica por cualquiera de las partes, o la no actuación o acción contra la otra parte en caso de incumplimiento por cualquiera de las partes, no se considerará como una renuncia a dicho derecho.
    3. El Usuario no podrá ceder, transferir, delegar o disponer de los derechos u obligaciones derivados del presente Acuerdo, en todo o en parte. RedCloud podrá ceder, transferir, delegar o disponer de los derechos u obligaciones derivados del presente Acuerdo o de su posición contractual, en todo o en parte, para lo cual el Usuario da su consentimiento previo para realizar dichas acciones.
    4. Los Vendedores son terceros ajenos e independientes de RedCloud; no están afiliados a RedCloud. Llevan a cabo su actividad de forma independiente mediante la fabricación, compra y/o posterior venta de Productos; venden o revenden los Productos en su propio nombre y asumen todo el riesgo empresarial de su actividad en el Mercado y soportan el riesgo de insolvencia de los respectivos Compradores de cualquier Producto o Servicio. RedCloud no representa ni garantiza el funcionamiento y el rendimiento del Vendedor, ni el cumplimiento de las obligaciones asumidas por los Compradores con respecto a terceros (incluidos, entre otros, los Vendedores), ni las obligaciones asumidas por dichos terceros con respecto a los Compradores en relación con cualquier venta o compra de Productos realizada en el Mercado y/o cualquier pago realizado en el mismo.
    5. La aceptación de estos Términos por parte del Usuario y cualquier uso del Mercado por parte del Usuario no crea -y no se interpretará que crea- ninguna relación de asociación, empresa conjunta, empleo, agencia, distribución, franquicia o agencia entre el respectivo Usuario y RedCloud.
  18. Ley aplicable y jurisdicción
    1. Este Acuerdo y cualquier disputa o reclamación (incluyendo disputas o reclamaciones no contractuales) que surjan de o en relación con él o su objeto o formación se regirán e interpretarán de acuerdo con la ley de Inglaterra y Gales.
    2. Cada parte acepta irrevocablemente que los tribunales de Inglaterra y Gales tendrán jurisdicción exclusiva para resolver cualquier disputa o reclamación (incluyendo disputas o reclamaciones no contractuales) que surjan de o en relación con este acuerdo o su objeto o formación.
  19. Servicio de atención al cliente, información de contacto y resolución de conflictos
    1. Si tiene alguna pregunta o queja sobre estos Términos, o si necesita ayuda con el Mercado o los Servicios, siempre estamos aquí para ayudarle y resolver cualquier disputa de forma amistosa.   20. Designación del jefe de proyecto
    1. A efectos de aplicación, cada Parte designará a una persona (el “Jefe de Proyecto”) que actuará como interlocutor válido y autorizado para cada Parte. Los Líderes de Proyecto estarán autorizados a interactuar entre ellos para realizar peticiones verbales, sugerencias y cualquier otra comunicación relevante a efectos de mejorar los Servicios del Mercado.
  21. Obligaciones del personal
    1. RedCloud será única y exclusivamente responsable del cumplimiento de todas las obligaciones laborales, de seguridad social y fiscales que determinan las disposiciones legales que rigen durante la vigencia del presente Acuerdo y que corresponden a RedCloud en su calidad de empleadores y/o empresarios de cualquier persona que intervenga en la prestación del Servicio a la Empresa.
  22. Respeto a los derechos humanos
    1. RedCloud se compromete a respetar los derechos humanos de las personas y de sus empleados, evitando la discriminación, el acoso, el abuso o la intimidación en cualquiera de sus formas, en relación con: Edad, lengua u origen; Nacionalidad o raza; Estado civil, género, embarazo; Enfermedades; Ideas, opiniones o libre expresión; Preferencias políticas o sexuales; Religión, condiciones dignas de trabajo; Condición social o económica; Capacidades físicas especiales; Cualquier otra circunstancia que atente contra la diversidad, libertad o dignidad de las personas. En el caso de que la Empresa tenga conocimiento de que no se cumplen los principios mencionados, podrá notificar a RedCloud con recomendaciones.

  23. Misceláneas
    1. La Empresa es un tercero ajeno e independiente de RedCloud; no está afiliada a RedCloud. La Empresa lleva a cabo su actividad de forma independiente mediante la fabricación, compra y/o posterior venta de Productos. Vende o revende los Productos en su propio nombre y asume todo el riesgo empresarial de su actividad de reventa de los Productos y asume el riesgo de insolvencia de sus clientes. RedCloud no ofrece ninguna representación ni garantía en cuanto al funcionamiento y el cumplimiento de las obligaciones de la Empresa.
    2. En el caso de que cualquier disposición del presente Acuerdo sea declarada nula o inaplicable por cualquier tribunal de la jurisdicción competente, dicha declaración no tendrá ningún efecto sobre las restantes disposiciones del presente Acuerdo. Dicha disposición nula o inaplicable será sustituida por una disposición válida y aplicable que se acerque lo más posible al efecto económico deseado de dicha disposición nula o inaplicable. El presente representa la totalidad del Acuerdo entre la Empresa y RedCloud con respecto a la prestación de los Servicios (junto con los Términos) y sustituye a cualquier propuesta o declaración anterior, paralela, oral o escrita, entre las partes. Todas las disposiciones que, a pesar de la terminación del Acuerdo, por su naturaleza seguirán en vigor, lo harán, incluyendo, sin limitación, las disposiciones relacionadas con la propiedad, la propiedad intelectual, las garantías y las responsabilidades. El incumplimiento de cualquier disposición específica por cualquiera de las Partes, o la no actuación o acción contra la otra Parte en caso de incumplimiento por cualquiera de ellas, no se considerará como una renuncia a dicho derecho.
    3. Los domicilios de las Partes antes mencionados son los que las Partes constituyen para todos los efectos de este Acuerdo. Cualquiera de las Partes podrá cambiar su domicilio a cualquier otro mediante notificación previa a la otra Parte especificando su nuevo domicilio y persona de contacto, pero dicho cambio no se considerará producido hasta que la notificación del cambio sea efectivamente recibida por la otra Parte.
 
Nigeria – Terms and Conditions of Use of the Marketplace
  1. General
    1. These Terms of Service (“Terms“) are a binding legal agreement between you and RedCloud (the “Contract”) that governs your use of the websites, applications for mobile devices, and other present of future offerings from RedCloud (collectively, the “Platform“). These Terms may be updated from time to time at the sole discretion of RedCloud. When used in these Terms, “RedCloud,” “we,” “us,” or “our” refers to the RedCloud entity with whom you are contracting and includes their successors and any person to whom rights have been assigned under this Contract.
    2. By accessing to the Platform, the User automatically adheres to the Terms which shall be strictly observed by the Users. These terms, including the subtitles below (which are deemed an integral part of this Terms), constitute a contract between any person (hereinafter, “User” or, in plural, “Users“) who wishes to access the Platform and/or use the Services described herein and enters into this Contract.
    3. Please read the Terms carefully before using the Marketplace. By creating an Account and accessing and using the Platform, the User accepts and acknowledges that the Terms are mandatory and binding. In case the User does not agree with the Terms, the User must refrain from using the Platform.
    4. The User agrees to use the Platform for lawful purposes, respecting the applicable laws and regulations and in no way shall use the Platform or its content for purposes contrary to the applicable law and regulations or morality or the policies of the Platform which may be issued or amended by RedCloud from time to time at its sole discretion, or in any other way that may affect its operation, security and/or information contained therein.
    5. Please print and keep a copy of this Contract for your records. RedCloud reserves the right to accept your adherence to these Terms and reserves the right to use its discretion in the exercise of its prerogatives in accordance with the law.
  2. About us
    1. RedCloud Technologies Ltd, trading as RedCloud, operates the Platform and provides the Services. RedCloud is registered in the UK under the number 08872820 and its registered office is located at the following address: 50 Liverpool Street, London, EC2M 7PY.

  3. Legal Capacity
    1. The Services offered by the Platform are available to those Users, whether human persons or representatives of legal entities, who have legal capacity to contract, that is, to acquire rights and incur in obligations. Services of the Platform may not be used by persons who do not have that capacity, minors or Users who have been suspended and / or disqualified by the Platform. By registering as a User, you declare under oath that you are a human person of legal age, with legal capacity to contract.
  4. Territory
    1. This Platform is available in the territory of Nigeria (when referring to Sellers) and/or where the store is located (when referring to Buyers) and is not intended to be accessed from any jurisdiction of any state, country, or territory other than the aforementioned. Neither us nor the Sellers make any representation or warranty that the Platform or any of the products are suitable or available for use, purchase, delivery, or sale in other locations.
  5. The Marketplace
    1. RedCloud provides a marketplace on its Platform (“the Marketplace”). The Marketplace is a B2B online intermediary services shopping platform that allows for: (i) purchase transactions between Users for ordering and paying for products online (“Marketplace Services”), (ii) payment transactions between the Users, including the ability to send credits backed by funds held by Users on their Account as means of payment (“Payment Services”), (iii) accessibility and digitalisation of data of Users and their transactions using the Marketplace (“Data Services”), (iv) strategic marketing campaigns (“Marketing Services” and altogether, the “Services”). Transactions to be performed within the Marketplace are B2B and therefore are not aimed to connect Sellers with final consumers.
    2. RedCloud acts as a data controller regarding the processing of data of Users. RedCloud processes personal data in connection with sales and purchases made by Users (“Collected Data”) to provide Data Services and collect other data, figures and relevant information for the provision of Marketing Services (and other relevant Services). Users hereby consent to such collection and usage of data in accordance with these Terms and the Privacy Policy of the Platform. Please also refer to the Privacy Policy.
    3. Collected data may include, but is not limited to transactional data, behavioural data and payment data of Users.
    4. Collected Data may be used and enhanced for the purposes of internal reporting within RedCloud. Users hereby consent to such collection and usage of data in accordance with these Terms and the Privacy Policy of the Platform.
  6. Registration
    1. To use the Services of the Platform, Users must register by creating an access account and providing login name and password details, and by providing necessary information which may include name, email address, postal address, information related to the payment of the Services and any other information that may be reasonably required by us (“the Account“) and agreeing to these Terms. As part of the registration process, you will receive a PIN code that will allow you to access the Services.  All information provided by the Users shall be accurate and valid at all times and any change shall be immediately notified to us. The Account will allow the User to use the Platform and access the Services. Users will access their Account through a username, phone number or email address and a personal password to be chosen by the User. The Account is unique non-transferable. In the event that we detect different Accounts containing the same or related data, we may cancel, suspend or disable them. Additionally, any User who is verified to operate with more than one Account will be blocked and will no longer be able to use the Platform.
    2. In order to make transactions on the Platform, Users must charge credit to their Account (as detailed below).
    3. The Account will allow the User to use the Services in conjunction with any other functionality that may be offered to the User in the future, subject to the terms and conditions set forth for each functionality.
    4. RedCloud may use reasonable efforts to verify the identity of the User and the data entered at the time of the registration. This may include the use of a one-time passcode (“OTP”) provided through the use of a mobile number (where the use of OTP is in place, the provision of a mobile number is mandatory). The mobile number is treated as personal data in line with these full terms and conditions. RedCloud is not responsible for the veracity or accuracy of the data provided by the Users. RedCloud reserves the right to request additional proof and/or data for the purpose of corroborating the data reported by the User, as well as suspend and/or temporarily or permanently disable those Users whose data could not be verified. Additionally, RedCloud reserves the right to suspend Users temporarily or permanently in case of breach of the Terms, as well as to reject requests for Transactions placed.
    5. The Platform shall maintain the confidentiality of the data provided by Users for registration and Users agree to maintain the confidentiality of their name and password and any other Account’s settings. The User agrees to immediately notify us of any unauthorized use of their Account, and to hold the Platform harmless in the event that this causes any damage to us or to third parties.
  7. Marketplace Services
    1. The Seller must offer for sale products and promote the Services in the appropriate categories and subcategories and Buyers may purchase through the Marketplace products marketed directly by the Sellers (“the Products”). Descriptions of the Products may include descriptive texts, graphics, photographs and other contents and conditions relevant to the sale of the Products, provided that they do not violate any third-party rights, applicable law, provision of this Contract or RedCloud policies.
    2. The Seller must comply with all relevant regulatory obligations such as registrations, authorizations, permits and/or authorizations required by the applicable regulations for the Products and Services offered, as well as with any mandatory product information to be included in the relevant offers pursuant to applicable regulations. RedCloud shall be entitled to delete any offer that does not comply with legal requirements but has no obligation to check offers for admissibility.
    3. In addition to these Terms, the Buyers agree by purchasing a Product to be bound by the terms and conditions of sale included in the publication displayed in the Marketplace, to the extent that such terms and conditions do not violate the applicable laws or policies of RedCloud. The offer to purchase a Product is irrevocable. Purchase offers will only be considered valid once they have been processed by the Marketplace and received by the Seller.
    4. Once the Buyer has selected the Products for purchase, such Products will be included in the Buyer´s shopping cart. At the end of the selection process, the Buyer must confirm his purchase and enter the place and method of delivery or pick-up, as offered by the Seller, and method of payment (“the Order”). After the Order is confirmed, it will be forwarded to the Seller for approval (who may accept the Order or modify the terms of the Order or reject the Order, at its sole discretion). Upon acceptance of the Order, the Marketplace will automatically inform the Buyer. The Products purchased through the Marketplace shall be subject to the dispatch and delivery conditions offered by the Seller chosen by the Buyer and available on the Marketplace and RedCloud will have no liability whatsoever regarding such dispatch and delivery or pick up, as applicable. In case of receipt of damaged or defective Products, the Buyer may make the corresponding claim to the Seller if the seller’s terms and/or applicable law allow for this.
    5. Upon an Order being made, the personal details of the Buyer will be shared with the Seller in order to and to the extent necessary to enable fulfilment of the Order.
    6. The form of payment for Products purchased on the Site may be performed by: (i) credit or debit card, (ii) the payment platform “RedPay” or (iii) such other means of payment as may be enabled by the Marketplace and accepted by Sellers in the future.
    7. The Buyer shall pay the price approved by the Seller when accepting the Order and, if applicable, the shipping and delivery costs. The Seller shall issue the corresponding invoice to the Buyer, this being the only invoicing method available for purchases through the Marketplace.
    8. By accepting these Terms, the Buyer acknowledges and agrees that the purchase and sale transaction it enters into with the Seller may be governed by additional conditions that will be provided by the Seller from time to time. The Marketplace and RedCloud will not be liable for any aspect of the transaction between the Buyer and the Seller, including but not limited to the terms agreed between the Buyer and the Seller, the payment by the Buyer and/or any defect in the Products or Services provided by the Seller.
    9. Acceptance of orders on the Marketplace:
      1. All Orders are subject to the condition precedent that the Seller validates the transaction and accepts it. To validate the transaction, Seller shall verify: (a) that it has, at the time of receipt of the Order by the Buyer, the Products in stock; (b) that it validates and accepts the amount and means of payment offered by the Buyer; and (c) any other aspect relating to the Order (including but not limited to delivery method). If an Order includes Products from different Sellers, such Order will be divided in sub-orders and each of the sub-orders redirected to the relevant Seller, who will proceed with the abovementioned acceptance. Buyers acknowledge and agree that Orders might only be partially accepted or rejected in full from time to time.
      2. The Buyer acknowledges and agrees that Orders may be rejected and/or suspended in certain cases even after the Order had been accepted. In this regard, the Marketplace may not be able to proceed with certain processing, in the following cases, without limitation: (a) when the Product ordered is not available; (b) when the payment service provider does not authorize payment of the price or payment has not been made for any reason whatsoever (if such means of payment is available on the Marketplace); or (c) when Buyers do not meet the ordering criteria specified in these Terms. In addition, in the event of force majeure or logistical difficulties in shipping to certain areas, the Marketplace and the Seller reserve the right to cancel an Order and/or apply exceptional terms and conditions. The Marketplace will automatically give notice of cancellation and/or application of exceptional terms and conditions as soon as possible after an Order is placed. Seller shall be independently and entirely responsible for the refund, cancellation and post-sales support of any Products or Services sold within the Marketplace.
    10. Fees on the Marketplace:
      1. For each Order, RedCloud will charge a fee, calculated based on the gross cost of the order (“the Fee“). As per the separate Commercial Agreement certain Sellers may agree to sponsor the fees of some or all Buyers in certain territories subject to additional terms. The applicable Fee will be billed on a monthly basis to the corresponding Seller.
      2. In addition to the Fee, RedCloud will charge VAT and any other local taxes that may apply.
      3. The Price includes costs of implementation and professional technical and business support. The Price includes fees for the use of the payment services covering cash digitization. It does not include any third-party payment processing fees such as Visa/Amex, etc.
    11. Invoicing of Fees:
      1. RedCloud will invoice the Company on the last day of each month for Marketplace Services performed within the course of that month. RedCloud’s payment terms are that its invoices are payable when received by you. The Company agrees to pay RedCloud’s invoices when it receives them.
      2. If the invoice is not paid within 30 days of the date of the invoice, interest will accrue monthly on the amount due at a rate of 4% per annum.
  8. Data and Marketing Services
    1. Collected Data may be used and enhanced for commercial purposes, including the provision of Collected Data to other Users or third-parties, whether or not for consideration. Where such commercial purposes involve the Collected Data (whether enhanced or otherwise) being provided directly to the User whose personal information forms the underlying data, it may be non-anonymised. Where commercial purposes involve the Collected Data (whether enhanced or otherwise) being provided to a User or third-party other than the User whose personal data forms the, or part of the, underlying data, it shall be anonymised and/or aggregated. For the avoidance of doubt, where Collected Data is anonymised and/or aggregated, the data of a single, identifiable User cannot be discerned from such.
    2. Data in relation to a User that is non-confidential and available in line with open commerce, including, but not limited to, data that the User provides openly on the Marketplace, may be enhanced, summarised and/or shared with other Users.
    3. RedCloud may use the personal data to contact a User through mobile, Whatsapp, email or other form of social media, including to contact the User with marketing materials. This may include, but is not limited to, the provision of personalised offers, promotions, advertisements or survey requests. A User may opt-out of being contacted by RedCloud through any type of medium.
  9. Payment Services
    1. Users may deposit money into their Account (“the Credit“) as a result of (i) collection transactions made through the Platform and (ii) through enabled debit cards and extra-bank collection networks or using any other means that may be indicated by the Platform in due course . The Credit will be credited to the User’s Account in accordance with the rates, taxes and discounts applicable and the mechanisms and rules determined by the Platform accepted by the User through these Terms. The User may use the Credit to perform the Transactions described in accordance with the provisions of these Terms.
    2. RedCloud acts as a Service provider through the Platform installed on your mobile device or through our Website. By initiating and performing a Transaction, you appoint RedCloud as your agent granting us an irrevocable mandate to dispose on your behalf of the Credit in your Account and transfer it to the Account of the designated recipient in accordance with your instructions. A financial institution designated for such purposes will hold the funds on your behalf until they are transferred to the recipient’s bank account, in the meantime you may not withdraw such funds or send such funds to any other recipient unless the initial Transaction is concluded.
    3. Upon receipt of a Top-Up request, you will issue a Transaction execution order, whereby you consent to RedCloud executing this and any other Transaction as may be necessary on your behalf. For this purpose, you shall provide the recipient’s Account information and such additional data as may be requested by the Platform. You hereby agree that all Transactions are subject to the availability of funds, which will be verified and confirmed by us.
    4. RedCloud shall have no obligation to execute the Transaction requested if you do not have sufficient Credit in your Account. Once we process your request, you will receive a Transaction confirmation receipt. This receipt is not equivalent to the receipt of the Credit in the receiving Account, which may take up to 48 business hours.
    5. RedCloud will not allow you to transfer Credit from your account in an amount exceeding the amount of money deposited and reflected in such Account.
    6. No Transaction may be cancelled after having been ordered by you unless authorized by RedCloud in accordance with the provisions herein contained. In any case of reversal of the Transaction, the Fees paid for the Service will not be refunded.
    7. RedCloud will use its best efforts to ensure that the Transaction is executed on the next business day following the date of receipt of your Transaction order, provided that the recipient has an Account in the Platform. If the recipient does not have an Account, the Transaction will be executed as soon as an Account is opened or on the date RedCloud receives the recipient’s bank account details.
    8. For each Transaction, RedCloud will charge a fee at the rate set forth in the Platform (the “Fee“), as published from time to time. The applicable Fee will be deducted from your Account upon ordering each Transaction, and the new Account balance will appear on your Account screen and will be communicated to the User via a message automatically sent by the Platform.
    9. Upon closure of an Account for any reason, we are authorized to use the contact information you have provided to us to attempt to send you or the recipient indicated by you, the funds equivalent to the Credit remaining in your Account. In the event that such information is incorrect or out of date, and/or we are unable to locate you to provide us with the information of the recipient to whom you wish to send the Credit, you acknowledge that you may lose both the credits and the funds corresponding to the Credit that is in your Account.
  10. Means of Payment
    1. The Platform has different suppliers in charge of the payment service. They are responsible for carrying out the Transactions. If the User shared their credit or debit card information in the Platform and makes it available to our supplier or entity responsible for the collection, authorizes the latter to debit from your credit or debit card charges incurred in the Account that the User registered on the Platform.
    2. The Users expressly consent to the use of credit available in the RedPay wallet as one of the methods for the payment of the Products or Services offered.
    3. Users may deposit money into their Account (“Credit”) as a result of (i) transactions made through the Marketplace and (ii) through enabled debit cards and extra-bank collection networks or using any other means that may be indicated by the Marketplace in due course . The Credit will be credited to the User’s Account in accordance with the rates, taxes and discounts applicable and the mechanisms and rules determined by RedCloud and accepted by the User through these Terms. The User may use the Credit to perform the transactions described in accordance with the provisions of these Terms.
    4. The Marketplace may offer and implement additional payment services, for which separate terms and conditions apply.
    5. The User agrees to pay all bills and charges due by him/her. Payments that may eventually be made through the Platform to charge credit to the Account, may be made online using credit cards and debit cards enabled or using any other means of payment that may be indicated in due course.
  11. Applicable Taxes
    1. It shall be the User’s sole responsibility to determine which taxes, if any, apply to the sale of Products, and it is the User’s sole responsibility to remit the correct tax to the appropriate tax authority. The fees payable by you to RedCloud under this Contract do not include any value added tax, or any other indirect and direct taxes arising as a result of or in connection with the Transactions contemplated hereby. Users agree to pay all applicable taxes to the relevant authorities.  To the extent required by such tax authority, RedCloud may make withholding to cover such taxes and pay such taxes to the appropriate tax authority. The User shall indemnify and hold RedCloud harmless for any claims that may be made by the tax authorities with respect to applicable taxes, debts and/or interest related to sale and purchase of Products and Services carried out by the Users.
  12. Assignment of Rights
    1. The User may not assign, transfer, delegate or dispose of the rights or obligations under this Agreement, in whole or in part without RedCloud consent in writing. RedCloud may assign, transfer, delegate or dispose of the rights or obligations under this Agreement or its contractual position, in whole or in part, for which the User hereby gives his consent in advance to perform such actions.
  13. Trade marks
    1. RedCloud grants the corresponding license of its trade name and logo to the User, so that during the Term RedCloud may use them in the manner it deems convenient to advertise and communicate the Marketplace and the participation of users in the Marketplace.
  14. Compliance with Contractual Provisions
    1. The User shall comply with all the Terms set forth in this Contract and any other instructions set forth by RedCloud under the contractual relationship herein established, e.g. RedCloud’s policies. In addition, the User agrees: (i) not to violate any applicable law, statute, contract or regulation, (ii) not to infringe any third party rights or any of RedCloud’s rights, including copyright, patent, trademark, trade secret or other intellectual property and/or privacy rights, (iii) not to engage in verbal or other conduct that is characterized as obscene, defamatory, threatening or constitutes harassment, (iv) not to use the Services to receive funds as consideration for sexually oriented or obscene materials or services; (v) not to use the Services to receive funds for drug trafficking, controlled or illegal substances, steroids or prescription drugs, (vi) not to use the Services to launder money derived from illegal activities, (vii) not to provide false, inaccurate or misleading information, (viii) not to send or receive potentially fraudulent, illegitimate or illegal funds, (ix) not to refuse to cooperate in an investigation or provide confirmation of Users’ identity or any information the Users provided to us, (x) not to attempt to take any action that results in unlawful enrichment, (xi) not to access the Marketplace from a country in which the Services are not approved, (xii) not to disclose or distribute another User’s information to a third party, (xiii) not to use third party’s information for marketing purposes unless you receive such User’s explicit consent to do so.
    2. If we have reason to believe that you have engaged in forbidden activities, we may engage in actions necessary to protect RedCloud, another User, a third party or you from setbacks, claims, fees, fines, penalties and any other liability. The actions we may take include but are not limited to the following: block, limit, close or terminate your right to use or dispose of your Credit and/ or your Account in full or for any particular Transaction. We may also refuse to provide our Services in the future, withhold your Credit for as long as necessary to protect us and others against the risk of financial loss and take legal action against you. If we proceed with the closure of your Account, we will provide you with notice of the Account closure and, if possible, the reasons for the closure, along with the procedure for withdrawing the funds corresponding to any Credit your Account reflects.
  15. Intellectual Property
    1. The mere access to the Platform does not give the User any right of use over the content of the Platform (whether past, current, or future content). RedCloud is the owner, or the licensee of all intellectual property rights generated in the Platform and from the Services and any material published in connection with them except those which may be owned exclusively by Sellers and Buyers.
    2. The contents displayed on the Platform may not, in any way, be copied, distributed, reproduced or disclosed, by any means, under penalty of civil and/or criminal liability.
    3. The User may not rent, lease or transfer any rights to use the software or the Marketplace to any third party. If any Users fail to comply with RedCloud’s instructions, implementation and usage requirements, such Users will be liable for all resulting damages suffered by the User itself, RedCloud and any third parties. Users agree not to alter, reproduce, adapt, distribute, display, publish, translate, disassemble, decompile or otherwise attempt to create any source code derived from the software, the Services and/or the Platform. RedCloud does not own, control or have any responsibility or liability for any third-party software applications a User might choose to use on the Platform and/or in connection with the Services. The RedCloud name and logo, and all related logos of our products and services, are either the property of RedCloud or registered trademarks of RedCloud or its licensor. In addition, all graphics, button icons and scripts are protected by copyrights owned by RedCloud, trademarks and/or trade secrets of RedCloud. Users may not copy, imitate, modify, alter or use them without our prior written consent.
    4. The Users warrant that they have all relevant rights to publish the Products, its trademarks, logos and product claims in the Marketplace. By uploading the information, images, videos, documentation and any other materials to the Marketplace, the Users authorize RedCloud and its affiliated companies to use, publish, and/or reproduce the images and photographs included in its publications, its trade name, trademarks, advertising phrases, logos, designs, drawings, images and any other distinctive sign that identifies the Users and its products or services (“the Users’ Trademark“) and information regarding its products or services (“Product Information“) within the Marketplace and for communication and advertising purposes in any communications, announcements or campaign issued by RedCloud in any available media outlets. It shall be the User’s obligation to include on the Marketplace the Product Information, including those warnings required by the applicable legislation for the sale or advertising of the Products and Services. The Users grant RedCloud and its related companies a free, irrevocable, non-exclusive, international and time unlimited authorization to use, publish, reproduce and/or adapt the images, photographs, the Users’ Trademark, and the Product Information in order to be used in all RedCloud sites and applications, social networks and/or in any mass and non-mass communication media, including, without limitation, platforms and any other digital or physical media that RedCloud deems appropriate.
    5. The Users declare and guarantee that they are the owners or licensees of the necessary rights over the images, photographs contained in its publications, over the Users’ Trademarks, as well as over the Product Information, and that it has the necessary rights and powers to grant the authorization detailed in this clause, being exclusively liable for any infringement of third parties’ rights or for any inconsistencies or inaccuracies in the Product Information.
  16. Limitation of Liability
    1. Given that the Marketplace is a mere intermediary platform which connects Buyer and Seller, it does not participate in the transactions carried out between them. Consequently, the Seller will be responsible for all the obligations and tax charges applicable to the sale of its Products and/or Services, and the Marketplace and/or RedCloud cannot be held liable for any kind of non-compliance.
    2. It is the Seller who uses the Marketplace and publishes their Products and Services, and consequently defines the conditions of their offer (product or service offered, price, description, photos, quality, quantity, completeness, etc.). In all cases, Sellers will be responsible for the existence, quality, quantity, integrity and/or legitimacy of the Products and/or Services they offer and will hold the Marketplace and/or RedCloud harmless for any actions or claims that may arise because of an offer or transaction.
    3. The Platform is subject to possible interruption problems, technical failures, and temporary unavailability of the Services. We shall not be liable for damages of any nature whatsoever that may occur due to the unavailability or lack of continuity of operations of the Platform although RedCloud will make commercially reasonable efforts to ensure that Orders are processed in a timely manner, but in no way guarantees the amount of time necessary to complete their processing.
    4. We will use our commercially reasonable efforts to ensure the security and reliability of the Platform and the content available on the Platform by using various controls to detect, prevent and combat malicious activity. However, RedCloud shall not be liable for any damages arising from the actions of third parties, for the improper conduct of the User, or for any fact that is somehow outside our control.
    5. RedCloud shall not be liable for the User’s browsing on external websites, even if they were referenced on the Platform, so it is a duty of the User to read the terms and conditions, Privacy Policy and Cookies Policy (if applicable) of the website accessed, being the User responsible for any damage or injury suffered in relation to such third-party sites. RedCloud shall not be liable for orders, instructions, requests and/or wrong or incomplete Orders caused by erroneous data of the recipient’s Account, relevant information of the recipient or the payment transaction, provided by the User.
    6. RedCloud shall not be liable in any way for the fulfillment of the obligations assumed by Users with third parties in relation to the Services and/or Transactions to be made or received through the Platform. The User acknowledges and agrees that when making Transactions with other Users or third parties, the User is acting freely and at their own risk and responsibility. In any case, the Platform shall not be liable for direct damage, loss of profits, or any other damage and/or injury suffered by the User, due to Transactions made through the Platform. The Platform shall not be responsible for verifying the causes, amount or any other circumstance relating to Transactions or to the veracity of the personal data entered by the User. In the event that one or more User or any third party initiate any claim or legal action against other User based on Transactions performed between them, each and every one of the users involved in such claims or actions waive the Platform and its directors, managers, employees, agents, operators, representatives and attorneys from liability.
    7. The Platform shall not be liable for the User’s browsing on external websites, even if they were referenced in the Platform, so it is a duty of the User to read the Terms and Conditions and Privacy Policy of the website accessed, being the User responsible for any damage or injury suffered in relation to such third-party sites. The Platform shall not be liable for orders, instructions, requests and/or wrong or incomplete Transactions caused by erroneous data of the recipient’s Account, relevant information of the recipient or the payment transaction, provided by the User.
    8. In any case, RedCloud shall not be liable for direct or consequential damages, loss of profits, or any other damage and/or injury suffered by the User, due to the sale and purchase of Products made through the Marketplace. Neither the Platform nor RedCloud shall be responsible for verifying the causes, amount or any other circumstance relating to the Services or to the veracity of the personal data entered by the User. In the event that one or more User or any third party initiate any claim or legal action against other User based on the provision of the Services, each and every one of the users involved in such claims or actions waive RedCloud and its directors, managers, employees, agents, operators, representatives and attorneys from liability.
    9. The Seller must indemnify RedCloud, as well as its directors, managers, employees, agents, operators, representatives and attorneys, in the event of any loss or damage (including legal costs) caused by any claim formulated or presented by any third party based on (i) contents that the Seller gives, offers, publishes or transmits through the Services and/or the sale of the Products;(ii) the use of the Services or acquisition of a Product by the Buyer; or (iii) the non-compliance with these Terms by the User.
    10. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL REDCLOUD’S LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED IN THE AGGREGATE 100% OF THE FEES PAID IN CONNECTION WITH THE RELEVANT TRANSACTION WHICH GAVE RISE TO THE DISPUTE.
  17. Confidentiality
    1. The Parties agree to treat as confidential all information provided by either Party, as well as all information contained herein, and to prevent the disclosure of such information to third parties, either in whole or in part, without the prior written consent of the other Party (the “Confidential Information“).
    2. The Parties understand that information shall not be deemed to be confidential or proprietary to a Party when: (i) the information provided had already been known to the other Party; (ii) the information provided had already been in the public domain at the time it was disclosed by a Party, unless this occurs as a consequence of a disclosure made by such Party in breach of this Agreement or the Terms; or (iii) the Party had received the information from third parties who were under no obligation of confidentiality in relation to such information. It is further provided that either Party shall have the right to disclose the Confidential Information when so required under applicable law, or when strictly necessary in order to obtain any necessary governmental approval or to exercise the defence of its rights, provided that such Party notifies the other Party immediately of such requirement and allows the participation of such Party in the process in order to control such disclosure.
    3. The Parties are prohibited from obtaining confidential information by means of reverse engineering. “Reverse Engineering” shall mean all actions, including observing, testing, examining, reassembling and, if necessary, reassembling, with the aim of obtaining Confidential Information. This prohibition ends as soon as the product or the object on which the Confidential Information is based has been made publicly available through no fault of the Parties.
    4. The confidentiality obligation agreed in this Agreement shall remain in force even after the termination of this Agreement, whatever the cause of such termination may be, for a term of 5 (five) years or a longer term if the Confidential Information shall continue to be confidential or secret, counted as from the date of termination of the Agreement. In the case of Personal Data, the confidentiality obligation shall remain in force in perpetuity.
  18. Termination
    1. RedCloud and the User may, at any time during the term of this Contract, terminate it without cause by 30 days’ prior written notice, which will result in the closure of the User’s Account and termination of the User’s subscription, if applicable, but will not suspend the fulfillment of all Services requested already authorized by the User at the time of giving notice of termination. In this regard, the User shall remain liable for any Order, cost or any other activity incurred and for which the User is personally, directly or indirectly responsible prior to the time of closing the Account. For the purposes of exercising this power of termination, it is necessary that the party seeking termination of the Contract does not owe the other User or third parties involved in the Transactions the fulfillment of any obligation.
    2. The User shall pay any amount it remains liable for under this Agreement within 30 days of termination of this Contract. Any amount not paid within the 30 days of the date of termination, interest will accrue monthly on the amount due at a rate of 4% per annum.
    3. In addition, the Platform may, in case of breach by the User of the Terms or any other applicable law, or inactivity of the User on the Platform for a period longer than 12 (twelve) months, terminate the provision of Services without any prior notice, making statutory reserve of the right to claim damages that such breach has caused.

  19. General Provisions
    1. You agree that you are the owner of the mobile device, phone numbers and email addresses (and any other relevant device or account) with which you have registered in the Platform to use the Services, and you agree that you will inform us immediately by calling our call center if you change your phone number or other details or lose your device. You are responsible and shall hold RedCloud harmless from any Transaction or activity performed by you regarding your relationship with your telecommunications service provider or any other third party in connection with your use of the Services through your devices, such as charges for SMS or cell phone services.
    2. RedCloud reserves the right to modify, amend or update the Terms at any time in its sole discretion. Modifications shall be posted on the Platform and shall become effective on the day immediately following the day of posting. Such modifications shall be communicated by RedCloud to Users through the publication of an amended version of the Terms on the Platform. Any User who does not agree with the modifications made may immediately request the cancellation of the Account and must refrain from using the Platform. In the event that any User continues to use the Platform, such User will be deemed to have accepted the modified, amended or updated Terms.
    3. In the event that any provision of this Contract is declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining provisions of this Contract. Such void or unenforceable provision shall be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable. This Contract represents the entire agreement between the User and RedCloud with respect to the Marketplace and the provision of the Services (together with all other guidelines, directives and policies issued by RedCloud and related to the Platform or the Services) and supersedes any prior, parallel, oral or written proposals or representations between the parties. All provisions which, notwithstanding termination of the Contract or closure of your Account, by their nature shall remain in effect, will do so, including provisions related to the suspension of your Account and rights to use the Services or any part thereof, including, without limitation, provisions related to ownership, intellectual property, warranties and liabilities. The breach of any specific provision by either party, or the failure to act or take action against the other party in the event of a breach by either party, shall not be deemed as a waiver of such right.
    4. The User may not assign, transfer, delegate or dispose of the rights or obligations under this Contract, in whole or in part. RedCloud may assign, transfer, delegate or dispose of the rights or obligations under this Contract or its contractual position, in whole or in part, for which the User hereby gives his consent in advance to perform such actions.
    5. The Sellers are third parties unrelated and independent from RedCloud; they are not affiliated with RedCloud. They conduct their business independently by the manufacturing, purchase and/or subsequent sale of Products; they sale or resale the Products in their own name and bear the entire entrepreneurial risk of their activity on the Marketplace and bear the risk of insolvency of the respective Buyers of any Products or Services. RedCloud makes no representation or warranty as to the operation and performance of the Seller, as to the performance of any obligations assumed by the Buyers to third parties (including but not limited to Sellers) or as to any obligations assumed by such third parties to Buyers in connection with any sale or purchase of Products made on the Marketplace and/or any payments made thereon.
    6. The User’s acceptance of these Terms and any use of the Platform by User does not create – and shall not be construed to create – any partnership, joint venture, employment, agency, distributorship, franchise, or agency relationship between the respective User and RedCloud.
  20. Cookies
    1. The Platform may use a tracking system using “cookies”, so that access to information, when moving from page to page, is done more quickly. It also helps in some cases to identify Users, without the need to ask them for their password again and again. These cookies are small files sent by the visited page and are stored on the hard disk of the computer, occupying little space. Users are informed that by using their browser options they can limit or restrict the hosting of these “cookies” as they wish, although it is not advisable to restrict them completely. The system may collect information about your preferences and interests. In the event that this occurs, the information will be used exclusively for statistical purposes to improve the services provided on the Platform.
  21. Data Privacy
    1. In order to use the Platform efficiently and securely, Users must provide certain information, including their name and surname, e-mail account, telephone, billing information, without which it would be impossible to provide the Services. Therefore, it is required that the information provided is true and accurate. The personal information that Users enter on the Platform is completely confidential and we will do our best to protect their privacy. When data and numbers corresponding to credit cards are entered, these are encrypted, for greater security of the Users.
    2. The User may exercise their rights of access, rectification or deletion, and request exclusion in accordance with the provisions of the applicable regulations on the subject by sending an email to the help center. The Platform has adopted the security levels of protection of personal data legally required, and has installed all the technical means and measures at its disposal to prevent the loss, misuse, alteration, unauthorized access and theft of personal data.

  22. Governing Law and Jurisdiction
    1. These Terms, the Platform usage and the provision of the Services are governed by the laws of Nigeria. In the event of a claim or dispute arising out of these Terms and/or your use of the Marketplace or the Services, you agree that the courts of Nigeria shall have exclusive jurisdiction over such claims or disputes, without prejudice to your rights under applicable law.

  24. Project Leader
    1. For implementation purposes, each Party shall designate a person (the “Project Leader”) who will serve as valid and authorized interlocutor for each Party.  The Project Leaders will be authorized to interact between them in order to make verbal requests, suggestions and any other relevant communication for the purposes of improving the Services.
  25. Staff Obligations
    1. RedCloud will be solely and limited to responsibility for compliance with all labor, social security and tax obligations that determine the legal provisions that govern during the validity of this Agreement and that correspond to RedCloud in its capacity as employers and / or entrepreneurs of any person who is involved in the provision of the Service to the Company.
  26. Respect for Human Rights
    1. RedCloud is committed to respecting the human rights of people and their employees, avoiding discrimination, harassment, abuse or intimidation in any of its forms, in relation to: Age, language or origin; Nationality or race; Marital status, gender, pregnancy; Diseases; Ideas, opinions or free expression; Political or sexual preferences; Religion, decent working conditions; Social or economic condition; Special physical capabilities; Any other circumstance that violates the diversity, freedom or dignity of the people.
    2. In the event that the Company becomes aware that the aforementioned principles are not being met, it may notify RedCloud with recommendations.
    3. The User is a third party unrelated and independent from RedCloud; it is not affiliated with RedCloud. The User conducts its business independently by the manufacturing, purchase and/or subsequent sale of Products. It sells or resale the Products in their own name and bear the entire entrepreneurial risk of their activity of resale of the Products and bear the risk of insolvency of their customers. RedCloud makes no representation or warranty as to the operation and performance of the obligations of the User.
    4. In the event that any provision of this Agreement is declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining provisions of this Agreement. Such void or unenforceable provision shall be replaced with a valid and enforceable provision that comes as close as possible to the desired economic effect of such void or unenforceable. This represents the entire Agreement between the User and RedCloud with respect to the provision of the Services (together with the Terms) and supersedes any prior, parallel, oral or written proposals or representations between the parties. All provisions which, notwithstanding termination of the Agreement, by their nature shall remain in effect, will do so, including, without limitation, provisions related to ownership, intellectual property, warranties and liabilities. The breach of any specific provision by either Party, or the failure to act or take action against the other Party in the event of a breach by either Party, shall not be deemed as a waiver of such right.
    5. The domiciles of the Parties abovementioned above are those that the Parties constitute for all purposes of this Agreement. Either Party may change its domicile to any other by giving prior notice to the other Party specifying its new domicile and contact person, but such change shall not be deemed to have occurred until the notice notifying the change is actually received by the other Party.
